1.Manufacturer'sObligations

1.2ManufacturershallusecommerciallyreasonableeffortstoensurethattheProductsconformtothequalitystandardsspecifiedbyCustomer.

2.Customer'sObligations

2.2Customershallberesponsibleforthepaymentoftheagreed-uponpricesfortheProducts,aswellasforthepaymentofanyadditionalcostsorexpensesincurredbyManufacturerinconnectionwiththeperformanceofthisContract,asspecifiedintheOrder.

2.3CustomershallprovideManufacturerwithsuchcooperationandassistanceasmaybenecessaryfortheproperperformanceofManufacturer'sobligationsunderthisContract.

3.DeliveryandInspection

3.1ManufacturershalldelivertheProductstoCustomer'sdesignateddeliverypoint,inaccordancewiththedeliveryschedulesetforthintheOrder.

3.2CustomershallhavetherighttoinspectandtesttheProductsupondeliverytoensurethattheyconformtothespecificationsandqualitystandardssetforthintheOrder.IftheProductsdonotconformtosuchspecificationsandqualitystandards,CustomershallnotifyManufacturerinwritingwithin[numberofdays]afterdelivery,andManufacturershall,atitsownexpense,promptlyreplaceorcorrectanynon-conformingProducts.

4.PricesandPaymentTerms

4.1ManufacturershallprovideCustomerwithadetailedbreakdownofthepricesfortheProducts,asspecifiedintheOrder.

4.2CustomershallmakepaymentfortheProductsinaccordancewiththepaymenttermssetforthintheOrder.

5.Confidentiality

5.1BothpartiesagreetomaintaininconfidenceallConfidentialInformation(asdefinedbelow)disclosedbytheotherpartyinconnectionwiththisContract,excepttotheextentthatsuchinformationisorbecomespubliclyknownthroughnofaultoftheparties.

5.2TheobligationsofconfidentialitysetforthinthisSection5shallsurvivetheexpirationorterminationofthisContract.

6.TermandTermination
