Thiscontractshallenterintoforceon[EffectiveDate]andshallbevaliduntilterminatedorexpiredinaccordancewiththetermsandconditionssetforthherein.

[Definitions]

Forthepurposeofthiscontract,thefollowingtermsandexpressionsshallhavethemeaningsascribedtothemhereunder:

1.Products:Thegoodsand/orservicestobeprocuredbyPartyAfromPartyBunderthiscontract.

2.Order:PartyA'swrittenrequestforthesupplyofProducts.

3.Price:ThepricetobepaidbyPartyAtoPartyBforthesupplyoftheProducts,asspecifiedintheOrder.

4.DeliveryDate:Thedate(s)onwhichtheProductsaretobedeliveredbyPartyBtoPartyA,asagreeduponbybothparties.

[OrderandConfirmation]

1.PartyAshallplaceOrderswithPartyBinwriting,specifyingthetype,quantity,quality,specifications,andotherrelevantdetailsoftheProductsrequired.

2.PartyBshall,uponreceiptoftheOrder,issueawrittenconfirmationacceptingorrejectingtheOrder.Intheeventofacceptance,PartyBshallprovidedetailsregardingthePrice,DeliveryDate,andanyothertermsandconditionsrelevanttothesupplyoftheProducts.

[PriceandPaymentTerms]

1.ThePricefortheProductsshallbeasspecifiedintheOrderandconfirmedbyPartyB.

2.PartyAshallmakepaymenttoPartyBinaccordancewiththepaymenttermsagreeduponbybothparties,whichshallbespecifiedintheOrderandconfirmation.

3.Allpaymentsshallbemadein[Currency]andarenon-refundable,exceptasotherwiseprovidedinthiscontract.

[DeliveryandAcceptance]

1.PartyBshalldelivertheProductstoPartyAonorbeforetheDeliveryDate,attheplaceofdeliveryasspecifiedintheOrder.

2.PartyAshallhavetherighttoinspectandaccepttheProductsupondelivery.IntheeventthattheProductsdonotconformtotheagreedspecifications,PartyAmayrejecttheProductsandrequirePartyBtoreplaceorrepairthesameatPartyB'sexpense.

[ForceMajeure]

Neitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthiscontractduetoanyunforeseencircumstancesoreventsbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,naturaldisasters,strikes,lockouts,oranyothercausesbeyondthereasonablecontroloftheparties.

[Termination]

Thiscontractmaybeterminatedbyeitherpartyuponwrittennoticeintheeventofamaterialbreachbytheotherpartythatisnotremediedwithinthirty(30)daysofwrittennotice.

[GoverningLawandDisputeResolution]

1.Thiscontractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction].

2.Anydisputesarisingoutoforinconnectionwiththiscontractshallberesolvedamicablythroughnegotiation.Ifthepartiesfailtoreachanagreement,thedisputeshallbereferredtoandfinallyresolvedbyarbitrationinaccordancewiththerulesof[ArbitrationInstitution].

[GeneralProvisions]

1.Thiscontractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.

2.Anyamendmentormodificationtothiscontractshallbemadeinwritingandsignedbybothparties.

3.Thiscontractshallbebindinguponandinuretothebenefitofthepartiesandtheirsuccessorsandassigns.

INWITNESSWHEREOF,theparties
