1.Parties'Agreement

PartyAandPartyB(collectivelyreferredtoasthe"Parties")herebyenterintothisInternationalMaritimeShippingContract(the"Contract")toregulatethetransportationofgoodsviamaritimeshippingfrom[InsertDeparturePort]to[InsertDestinationPort].

2.ScopeofWork

PartyBagreestoprovideinternationalmaritimeshippingservicestoPartyA,includingbutnotlimitedtothetransportation,handling,loading,unloading,anddeliveryofthegoodsasspecifiedinExhibitAattachedhereto(the"Goods").

3.FreightandPricing

ThefreightchargesfortheshipmentofGoodsshallbeasagreeduponbetweenthePartiesandspecifiedinExhibitB.PartyBreservestherighttoadjustthefreightchargesinaccordancewiththeapplicableshippingmarketconditions.AllpricingshallbeinUnitedStatesDollars(USD).

4.PaymentTerms

PartyAshallpayPartyBtheagreedfreightchargeswithin[InsertNumber]daysafterthereceiptoftheinvoiceissuedbyPartyBuponthecompletionoftheshippingservices.Incaseoflatepayment,PartyAshallpayinterestontheoutstandingamountatarateof[InsertInterestRate]perannum.

5.CargoInsurance

PartyAmay,atitssolediscretion,obtaincargoinsurancetocoveranypotentialloss,damage,ordelayoftheGoodsduringtransit.IfPartyAdecidestoobtainsuchinsurance,itshallprovidePartyBwiththenecessarydocumentationpriortothecommencementoftheshippingservices.

6.LiabilityandLimitationofLiability

PartyBshallbeliableforanylossordamagetotheGoodsoccurringduringtheperiodfromthetimeofreceiptbyPartyBtothetimeofdeliverytothedesignatedport,exceptforanylossordamagecausedbycircumstancesbeyondPartyB'scontrol,includingbutnotlimitedtoactsofGod,naturaldisasters,war,riots,andgovernmentactions.

TheliabilityofPartyBforanylossordamagetotheGoodsshallbelimitedto[InsertAmount]perpackageorpershippingunit,unlessahighervalueisdeclaredbyPartyAinwritingandtheadditionalinsurancepremiumispaidaccordingly.

7.DisputeResolution

AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedamicablythroughnegotiationsbetweentheParties.IfthePartiesfailtoreachanagreement,thedisputeshallbesubmittedtoarbitrationinaccordancewiththerulesofthe[InsertArbitrationInstitution].Thearbitrationshalltakeplacein[InsertCity],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheParties.

8.GoverningLawandJurisdiction

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertCountry].ThePartiesagreethatanylegalactionorproceedingsarisingoutofthisContractshallbebroughtexclusivelyinthecompetentcourts/tribunalshavingjurisdictionin[InsertCity].

9.EntireAgreement

ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallpriordiscussions,negotiations,andunderstandings,whetherwrittenororal.AnyamendmentsormodificationstothisContractshallbeinwritingandsignedbybothParties.
