2024版国际贸易相关法规InternationalTradeRelatedRegulationsContractContractNumber:________EffectiveDate:________PlaceofSigning:________PartyA(Importer):________Address:________LegalRepresentative:________ContactNumber:________PartyB(Exporter):________Address:________LegalRepresentative:________ContactNumber:________Preamble:ThiscontractismadeandenteredintobyandbetweenPartyAandPartyB,whoherebyagreetoengageininternationaltradeinaccordancewiththefollowingtermsandconditions,recognizingtheapplicabilityofinternationaltraderegulationsandthelawsoftheirrespectivejurisdictions.Article1:ScopeofApplication1.1ThiscontractshallapplytotheinternationalsaleofgoodsandrelatedactivitiesbetweenPartyAandPartyB.Article2:CompliancewithLawsandRegulations2.1Bothpartiesshallcomplywithallapplicableinternationaltradelaws,regulations,andconventions,includingbutnotlimitedtotheIncotermsoftheInternationalChamberofCommerce.Article3:GoodsDescription3.1Thegoodstobetradedaredescribedasfollows:________(providedetaileddescriptionofgoods).Article4:QuantityandQuality4.1Thequantityofthegoodsshallbe________(specifyquantity).4.2Thequalityofthegoodsshallmeetthestandardsspecifiedin________(referencetoqualitystandardsorspecifications).Article5:PriceandPayment5.1Thepriceofthegoodsshallbe________(specifycurrencyandamount).5.2PaymentshallbemadeinaccordancewiththetermsspecifiedinArticle________(referencetopaymentterms).Article6:Incoterms6.1ThedeliveryofthegoodsshallbesubjecttotheIncoterms________(specifyIncotermsrule,e.g.,DDP,FOB,CIF,etc.).Article7:Packaging7.1Thegoodsshallbepackagedinthemannersuitableforinternationaltransportationasspecifiedin________(referencetopackagingstandards).Article8:InspectionandQualityAssurance8.1ThegoodsshallbeinspectedbyPartyAorathird-partyinspectorappointedbyPartyAtoensurecompliancewiththequalityrequirements.Article9:Transportation9.1PartyBshallarrangefortransportationofthegoodstotheagreeddestinationasperArticle________(referencetotransportationterms).Article10:Insurance10.1Insurancecoverageforthegoodsduringtransportationshallbearrangedby________(specifywhichpartyisresponsibleforinsurance).Article11:DeliveryandAcceptance11.1Deliveryofthegoodsshallbemadeaspertheschedulespecifiedin________(referencetodeliveryschedule).11.2AcceptanceofthegoodsbyPartyAshallbeuponconfirmationofdeliveryandcompliancewiththecontractterms.Article12:ForceMajeure12.1Neitherpartyshallbeliableforfailuretoperformanyobligationunderthiscontractduetoforcemajeure,whichisdefinedaseventsbeyondthecontrolofeitherparty.Article13:BreachofContract13.1Intheeventofbreachofcontractbyeitherparty,thenon-breachingpartyshallbeentitledtoremediesasprovidedbytheapplicablelaw.Article14:DisputeResolution14.1Anydisputesarisingoutoforinconnectionwiththiscontractshallberesolvedthrougharbitrationinaccordancewiththerulesof________(specifyarbitrationinstitution).Article15:ApplicableLaw15.1Thiscontractshallbegovernedbyandconstruedinaccordancewiththelawsof________(specifyapplicablelaw).Article16:Notices16.1Allnoticesandcommunicationsunderthiscontractshallbeinwritingandshallbesenttotheaddressesspecifiedinthiscontract.Article17:AmendmentsandWaivers17.1Anyamendmenttothiscontractshallbemadeinwritingandsignedbybothparties.17.2Nowaiverofanyprovisionofthiscontractshallbeeffectiveunlessinwritingandsignedbythepartyagainstwhomthewaiverissoughttobeenforced.Article18:EntireAgreement18.1Thiscontractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings.Article19:Assignment19.1Neitherpartymayassignitsrightsorobligationsunderthiscontractwithoutthepriorwrittenconsentoftheotherparty.Article20:IndependentContractors20.1Thepartiestothiscontractareindependentcontractorsandnothinghereinshallbedeemedtocreateanagency,partnership,orjointventure.PartyA(Signature):________LegalRepresentative:________Date:________PartyB(Signature):________LegalRepresentative:________Date:________(Note:Theaboveisthefirsthalfofthecontract,andthesecondhalfwillbeprovidedinthenextquestion.)Thiscontracttemplateisprovidedasageneralguidelineandmayneedtobeadjustedtofitspecificcircumstances.Itisadvisedtoconsultwithalegalprofessionaltoensurealltermsandconditionsareappropriateforthepartiesinvolved.Article21:Confidentiality21.1Bothpartiesagreetokeepconfidentialanyinformationobtainedfromtheotherpartyinrelationtothiscontract,exceptasrequiredbylaworwiththeotherparty'sconsent.Article22:ExportandImportLicensesandCompliance22.1PartyBshallobtainanynecessaryexportlicenses,andPartyAshallobtainanynecessaryimportlicenses.Bothpartiesshallcomplywithallapplicablecustomsregulations.Article23:IntellectualPropertyRights23.1PartyBwarrantsthatthegoodsdonotinfringeuponanythird-partyintellectualpropertyrightsandshallindemnifyPartyAagainstanyclaimstothecontrary.Article24:WarrantyandProductLiability24.1PartyBprovidesawarrantyforthegoodsagainstdefectsinmaterialsandworkmanshipforaperiodof________(specifywarrantyperiod).24.2PartyB'sliabilityforanydefectsordamagescausedbythegoodsshallbelimitedtorepair,replacement,orcreditatPartyB'soption.Article25:Termination25.1Eitherpartymayterminatethiscontractupon________(specifytimeperiod)writtennoticeintheeventofamaterialbreachbytheotherparty.Article26:Indemnification26.1Eachpartyshallindemnifyandholdtheotherpartyharmlessagainstanylosses,damages,costs,andexpensesarisingfromitsownbreachofcontractornegligence.Article27:CapacityandAuthority27.1Eachpartyrepresentsthatithasthefullcorporatepowerandauthoritytoenterintothiscontract.Article28:Third-PartyBeneficiary28.1ExceptasstatedinArticle23,therearenointendedthird-partybeneficiariesofthiscontract.Article29:ExecutionofContract29.1Thiscontractmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.一、AttachmentList:ExportLicenseImportLicenseBillofLadingCommercialInvoicePackingListCertificateofOriginInspectionCertificateWarrantyTerms二、BreachofContractandDetermination:Non-Compliance:Failuretocomplywithapplicablelawsandregulationsisabreach.LateDelivery:PartyB'sfailuretodeliverthegoodswithintheagreedtimeframemaybeabreach.Non-Payment:PartyA'sfailuretomakepaymentsaspertheagreedscheduleisabreach.IntellectualPropertyInfringement:Ifthegoodsinfringeuponanythird-partyintellectualpropertyrights,itmaybeconsideredabreachbyPartyB.三、LegalTermsandDefinitions:Incoterms:Internationalcommercialtermsthatdefinetheresponsibilitiesofsellersandbuyersforthedeliveryofgoods.ForceMajeure:Circumstancesbeyondthecontrolofthepartiesthatmayexcuseperformanceunderthecontract.Arbitration:Amethodofdisputeresolutioninvolvinganeutralthirdparty(arbitrator)whomakesadecisionafterheari
