RestrictionsonAssignment:NeitherpartymayassignitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherparty.ExceptionstoAssignment:Theconsentrequirementdoesnotapplytothetransferofbusinessassetsintheeventofamerger,acquisition,orsimilartransaction.Article20:CovenantNottoSueCovenant:PartyBcovenantsnottoinitiateanylegalactionagainstPartyAinrelationtothesubjectmatterofthisAgreement.LimitationofActions:Anylegalactionorclaimmustbebroughtwithinoneyearofthecauseofactionaccruing.Article21:Third-PartyBeneficiaryBeneficiaryRights:AthirdpartymayenforceitsrightsasabeneficiaryunderthisAgreement.NoticetoBeneficiary:Anychangesaffectingthebeneficiarymustbenotifiedtothebeneficiaryinwriting.Article22:FurtherAssurancesCooperation:EachpartyshallprovidereasonablecooperationandexecuteanyadditionaldocumentsnecessarytofulfilltheAgreement.GoodFaith:EachpartyshallactingoodfaithtowardstheotherpartyinperformingitsobligationsunderthisAgreement.Article23:ContractInterpretationHeadings:TheheadingsusedinthisAgreementareforreferenceonlyanddonotaffecttheinterpretation.Severability:IfanyprovisionofthisAgreementisheldtobeinvalidorunenforceable,theremainingprovisionsremaininfullforceandeffect.Article24:ExecutioninCounterpartsCounterparts:ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.ElectronicSignatures:Theuseofelectronicsignatureshasthesamelegaleffectasoriginalsignatures.I.AnnexList:ExhibitA:DetailedProductSpecificationsandDescriptionExhibitB:TotalContractValueandPaymentTermsExhibitC:DeliveryandShippingSchedulesExhibitD:InsuranceDetailsandCertificatesExhibitE:ComplianceCertificatesforExport/ImportRegulationsExhibitF:ListofRequiredExportLicensesandPermitsExhibitG:IntellectualPropertyRightsDocumentationII.BreachofContractandDetermination:BreachTypes:Includenon-delivery,latedelivery,non-payment,orfailuretomeetcontractualspecifications.BreachDetermination:Determinedbythefailuretomeetagreed-upontermsandconditions,withpotentialpenaltiesorcontractterminationasaresult.III.LegalTermsandExplanations:ForceMajeure:Eventsbeyondaparty'scontrolthatexcuseperformance.MaterialBreach:Asignificantbreachthatsubstantiallydeprivesapartyofthebenefitofthecontract.Anti-Assignment:Aclausepreventingthetransferofcontractualrightsandobligationswit
