ContractAgreement

ThisContractAgreement(the"Agreement")isenteredintoasof[Date],byandbetween[YourCompanyName]("Company"),acompanyorganizedandexistingunderthelawsof[Country],witharegisteredaddressat[CompanyAddress],and[ClientName]("Client"),anindividualwitharesidentialaddressat[ClientAddress].

1.ScopeofWork

1.1TheCompanyagreestoprovidethefollowingservicestotheClient:

(a)[DescriptionofServices]

(b)[AdditionalServices,ifany]

1.2TheClientagreestoprovidetheCompanywithallnecessaryinformation,materials,andcooperationtoenabletheCompanytoperformtheServices.

2.DurationandTermination

2.1ThetermofthisAgreementshallcommenceontheEffectiveDateandshallcontinueforaperiodof[Duration],unlessearlierterminatedinaccordancewiththisAgreement.

2.2eitherpartymayterminatethisAgreementbyprovidingwrittennoticetotheotherpartyif:

(a)theotherpartycommitsamaterialbreachofanyprovisionofthisAgreementandfailstocuresuchbreachwithin[Number]daysafterreceiptofwrittennoticefromtheterminatingparty;or

(b)eitherpartydeterminesthatthecontinuationofthisAgreementisnolongerinitsbestinterest.

3.PaymentTerms

3.1TheClientshallpaytheCompanythefollowingamountsfortheServices:

3.2ThepaymentsshallbemadebytheClienttotheCompanyinaccordancewiththepaymentschedulesetforthinScheduleAattachedhereto.

4.Confidentiality

4.1BothpartiesagreetomaintaintheconfidentialityofallconfidentialinformationdisclosedbytheotherpartyinconnectionwiththisAgreement,excepttotheextentthatsuchinformationisorbecomespubliclyknownthroughnofaultofthereceivingparty.

4.2TheobligationsofconfidentialityshallsurvivetheterminationofthisAgreement.

5.Indemnification

5.1TheClientshallindemnifyandholdharmlesstheCompanyagainstanyclaims,losses,damages,orexpenses(includingreasonableattorney'sfees)arisingoutoforinconnectionwiththeClient'suseoftheServicesorthebreachofthisAgreementbytheClient.

5.2TheCompanyshallindemnifyandholdharmlesstheClientagainstanyclaims,losses,damages,orexpenses(includingreasonableattorney'sfees)arisingoutoforinconnectionwiththeperformanceoftheServicesbytheCompanyorthebreachofthisAgreementbytheCompany.

6.DisputeResolution

6.1AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.

6.2ThepartiesagreethatthevenueforanylegalactionbroughtinconnectionwiththisAgreementshallbethecourtslocatedin[Jurisdiction].

7.Miscellaneous

7.1ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.

7.2ThisAgreementmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothparties.

7.3IfanyprovisionofthisAgreementisheldtobeinvalidorunenforceable,suchprovisionshallbeconstruedasnearlyaspossibletoreflecttheoriginalintentoftheparties,andtheotherprovisionsofthisAgreementshallremaininfullforceandeffect.
