PartnershipAgreement

ThisPartnershipAgreement("Agreement")ismadeandenteredintoasof[Date],byandbetween[YourName],hereinafterreferredtoas"PartnerA",and[PartnerB'sName],hereinafterreferredtoas"PartnerB"(collectivelyreferredtoasthe"Partners").

1.PartnershipFormation

ThePartiesagreetoformageneralpartnership(the"Partnership")underthelawsof[Jurisdiction].ThePartnershipshallcommenceonthedatehereofandshallcontinueuntilterminatedasprovidedinthisAgreement.

2.Contributions

EachPartnershallcontributetothePartnershipthefollowingcapital:

5.DurationandTermination

ThetermofthisAgreementshallexpireon[ExpirationDate].ThePartnershipmaybeterminatedbymutualagreementofthePartnersorbynoticeinwritingfromeitherPartnerifthePartnershipisunabletocarryonitsbusinessintheordinarycourse.

6.Indemnification

EachPartnershallindemnifyandholdharmlesstheotherPartnerandthePartnershipfromanyandallclaims,damages,liabilities,andexpenses(includingreasonableattorney'sfees)arisingoutoforinconnectionwiththeconductofthePartnership'sbusinessoranyactoromissionofsuchPartnerinconnectionwiththePartnership.

7.GoverningLawandJurisdiction

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallbebroughtbeforethecourtshavingjurisdictionin[Jurisdiction].
