雇佣合同中英文EMPLOYMENTAGREEMENTThisEmploymentAgreement("Agreement")ismadeandenteredintoasofthe______dayof____,20,byandbetween______("Employer"),acompanyincorporatedunderthelawsof______,withitsprincipalplaceofbusinessat______,and______("Employee"),anindividualresidingat______.PositionandDutiesTheEmployerherebyemploystheEmployee,andtheEmployeeherebyacceptsemploymentwiththeEmployer,inthecapacityof______.TheEmployeeshallperformthedutiesandresponsibilitiesassociatedwiththesaidpositionasoutlinedinthejobdescriptionattachedheretoasExhibitA.TermofEmploymentThetermofthisAgreementshallcommenceonthe______dayof____,20,andshallcontinueforaninitialperiodof______years,subjecttorenewalasprovidedinSection10hereof.CompensationTheEmployershallpaytheEmployeeanannualsalaryof$______,payableinaccordancewiththeEmployer'sregularpayrollschedule.TheEmployermay,atitssolediscretion,providebonusesorotherformsofcompensationbasedontheEmployee'sperformanceandtheEmployer'sfinancialresults.BenefitsTheEmployeeshallbeeligibleforbenefitsasdeterminedbytheEmployerfromtimetotime,includingbutnotlimitedtohealthinsurance,retirementplancontributions,andpaidtimeoff.ThespecificsofthebenefitspackageshallbeprovidedinwritingtotheEmployee.WorkLocationandScheduleTheEmployeeshallperformworkattheEmployer'sprincipalplaceofbusinessoratsuchotherlocationsasmaybedesignatedbytheEmployer.TheEmployeeshallworkduringthehoursandonthedaysasdeterminedbytheEmployer,subjecttocompliancewithapplicablelawsandregulations.ConfidentialityTheEmployeeagreestomaintaintheconfidentialityofalltradesecrets,proprietaryinformation,andotherconfidentialinformationoftheEmployer,whetherdisclosedtotheEmployeebeforeoraftertheEffectiveDateofthisAgreement.IntellectualPropertyAllinventions,discoveries,improvements,designs,developments,andotherworksofauthorshipmadebytheEmployeeduringthetermofthisAgreementandwithinthescopeoftheEmployee'semploymentwiththeEmployershallbethesolepropertyoftheEmployer.Non-SolicitationDuringthetermofthisAgreementandforaperiodof______yearsthereafter,theEmployeeshallnot,directlyorindirectly,solicit,recruit,orattempttosolicitorrecruitanyemployeeoftheEmployerforemploymentwithanyotherentity.Non-CompetitionTheEmployeeagreesthatduringthetermofthisAgreementandforaperiodof______yearsfollowingtheterminationofthisAgreementforanyreason,theEmployeeshallnotengageinanybusinessactivitythatisincompetitionwiththeEmployerwithina______mileradiusoftheEmployer'sprincipalplaceofbusiness.RenewalThisAgreementshallbeautomaticallyrenewedforsuccessiveperiodsof______years,unlesseitherpartyprovideswrittennoticeofitsintentionnottorenewatleast______dayspriortotheexpirationofthethen-currentterm.TerminationThisAgreementmaybeterminatedbyeitherpartyupon______days'writtennotice.TheEmployermayalsoterminatethisAgreementimmediatelyforcause,includingbutnotlimitedtotheEmployee'sbreachofanymaterialprovisionofthisAgreement.IndemnificationTheEmployeragreestoindemnifyandholdharmlesstheEmployeefromanyandallliabilities,damages,andexpensesarisingoutoforinconnectionwiththeEmployee'sperformanceofdutiesunderthisAgreement,excepttotheextentsuchliabilities,damages,orexpensesarisefromtheEmployee'sgrossnegligenceorwillfulmisconduct.GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthe______withoutgivingeffecttoanychoiceoflaworconflictoflawprovisions.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreementsandunderstandings,whetherwrittenororal.AmendmentsThisAgreementmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothparties.SeverabilityIfanyprovisionofthisAgreementisheldtobeinvalidorunenforceable,suchprovisionshallbestruckandtheremainingprovisionsshallbeenforced.NoticesAllnotices,requests,demands,andothercommunicationsrequiredorpermittedhereundershallbeinwritingandshallbedeemedgivenwhendeliveredpersonallyorbyovernightcourierservice,orthreedaysafterbeingsentbycertifiedmail,postageprepaidandaddressedtothepartiesattheirrespectiveaddressessetforthabove,oratsuchotheraddressaseitherpartymaydesignateinwriting.INWITNESSWHEREOF,thepartieshaveexecutedthisAgreementasofthedatefirstabovewritten.ConfidentialityofAgreementThetermsofthisAgreementshallbekeptconfidentialbybothparties,exceptasrequiredbylawortofulfillobligationsunderthisAgreement.IndependentContractorsThepartiesacknowledgethattheEmployeeisanindependentcontractorforallpurposes,andnothinginthisAgreementshallbeconstruedtocreateapartnership,jointventure,oragencyrelationshipbetweentheparties.AssignmentTheEmployeeshallnotassignordelegateanyofitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheEmployer.ForceMajeureNeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementtotheextentthatsuchfailureordelayiscausedbycircumstancesbeyondthereasonablecontrolofthatparty,includingbutnotlimitedtoactsofGod,war,terrorism,labordisputes,oranyothercausesbeyondtheaffectedparty'scontrol.WaiverNowaiverbyeitherpartyofanybreachordefaulthereundershallbedeemedawaiverofanyprecedingorsubsequentbreachordefault.CounterpartsThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.SuccessorsandAssignsThisAgreementshallbebindinguponandinuretothebenefitofthepartiesheretoandtheirrespectivesuccessorsandassigns.NoThird-PartyBeneficiaryThisAgreementisintendedforthebenefitofthepartiesheretoand,exceptasprovidedinSection12,shallnotconferanyrightsorremediesuponanythirdparty.DisputeResolutionAnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesthenprevailingofthe______ArbitrationAssociation.Thearbitrationshalltakeplacein______,andthelanguageofthearbitrationshallbeEnglish.IntegrationofExhibitsTheExhibitsandSchedulesattachedtothisAgreementareherebyincorporatedbyreferenceandmadeapartofthisAgreementasif
