10.附件十：其他相关文件二、违约行为及认定：1.违约行为：Transferor未能履行其在股权转让协议项下的义务，包括但不限于未能按照约定时间交付股权、未能提供真实、准确的公司信息等。

2.认定：违约行为应当根据股权转让协议的约定和适用的法律进行认定。一旦发生违约行为，Transferor应当承担相应的违约责任。三、法律名词及解释：1.股权转让：指股权的出售、赠与或其他形式的转移。

2.股东：指在公司中持有股份的人或实体。

3.股权利益：指股东在公司中所享有的所有权利、利益和权益。

4.股权转让协议：指股东之间或股东与其他方之间就股权转让事宜达成的书面协议。
