增设备补充协议合同编号：__________partiesthisagreement(hereinafterreferredtoas"theagreement")isenteredintoasof__________(the"effectivedate")andbetween:(fullnameofthefirstparty)(addressofthefirstparty)(city,province,postalofthefirstparty)(countryofthefirstparty)("firstparty"),and:(fullnameofthesecondparty)(addressofthesecondparty)(city,province,postalofthesecondparty)(countryofthesecondparty)("secondparty").references(1)theoriginalagreement(hereinafterreferredtoasthe"originalagreement")datedasof__________(the"originalagreementeffectivedate")andbetweenthefirstpartyandthesecondparty;and(2)allschedules,exhibits,appendicesandattachmentsheretoasmaybeamended,restated,supplementedorotherwisemodifiedfromtimetotimeinaccordancewiththetermshereof(collectively,the"agreement").backgroundWHEREAS:(a)thefirstpartyistheownerofcertainequipment(the"equipment")whichisdescribedinschedule"a"attachedhereto;(b)thesecondpartydesirestohavetheequipmentinstalled,maintainedandservicedthefirstpartyfromtimetotimeinaccordancewiththetermsandconditionssetforthherein;and(c)thefirstpartyiswillingtoinstall,maintainandservicetheequipmentforthesecondparty,subjecttothetermsandconditionssetforthherein.agreementNOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thepartiesheretoagreeasfollows:1.installationandmaintenanceoftheequipment(a)thefirstpartyagreestoinstalltheequipmentatthelocationspecifiedthesecondparty(the"installationlocation")onorbeforetheinstallationdate(asdefinedinschedule"a")(the"installation")inaccordancewiththemanufacturer'sspecificationsandindustrystandards;(b)thefirstpartyagreestomaintainandservicetheequipmentonanongoingbasisduringthetermofthisagreement,inaccordancewiththemanufacturer'sspecificationsandindustrystandards;and2.termofagreement3.payment(a)thesecondpartyagreestopaythefirstpartythefollowingamountsinaccordancewiththetermshereof:(i)aonetimeinstallationfeeintheamountof__________(the"installationfee");and(ii)amonthlyservicefeeintheamountof__________(the"monthlyservicefee").(b)theinstallationfeeandmonthlyservicefeeshallbepayablethesecondpartywithin__________daysafterthedateoftheinvoiceissuedthefirstparty.(c)thesecondpartyagreestopayinterestonanyoutstandingamountshereunderattherateof__________perannum,calculatedfromtheduedateuntilthedateofpaymentinfull.4.ownershipofequipment(a)totheequipmentshallremainwiththefirstpartyatalltimes;and(b)thesecondpartyshallhavenoownershipinterestintheequipment,butshallhavetherighttousetheequipmentinaccordancewiththetermshereof.5.indemnification(a)thesecondpartyagreestoindemnifyandholdharmlessthefirstpartyagainstanyandallclaims,demands,actions,losses,damages,liabilities,costsandexpenses(includingreasonablelegalfees)arisingoutoforinconnectionwith:(i)theuseoroperationoftheequipmentthesecondpartyoranythirdparty;(ii)anybreachofthisagreementthesecondparty;or(iii)anydamagetoorlossoftheequipment.(b)thefirstpartyagreestoindemnifyandholdharmlessthesecondpartyagainstanyandallclaims,demands,actions,losses,damages,liabilities,costsandexpenses一、附件列表：1.设备详细描述（附件A）2.安装地点地图（附件B）3.安装时间表（附件C）4.服务费明细（附件D）5.付款凭证（附件E）6.设备维护记录（附件F）二、违约行为及认定：1.迟延安装：未按照附件C中的时间表完成安装。2.服务质量不符：未按照制造商规格和行业标准提供服务。3.未支付费用：未在规定时间内支付附件D中规定的费用。4.损害设备：因不当使用导致设备损坏或丢失。5.未经授权的使用：未经第一方同意，第二方未按约定使用设备。三、法律名词及解释：1.违约行为：违反合同约定的一方行为。2.安装费：根据合同约定，为安装设备而一次性收取的费用。3.服务费：根据合同约定，为维护和保养设备而定期收取的费用。4.所有权：指对财产的绝对控制权和法律上的所有权。5.违约金：因违约行为而根据合同约定向对方支付的赔偿金。四、执行中遇到的问题及解决办法：1.设备安装迟延：与第一方沟通，商定合理的安装时间表，并督促按时完成。2.服务质量问题：要求第一方按照约定标准提供服务，并有权要求赔偿。3.支付纠纷：查看附件D中的费明细，确认金额无误后及时支付。4.设备损坏：保留设
