ThisContract(the“Contract”)ismadeandenteredintoasofthis_____dayof_______,20____,andbetween:

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thePartiesagreeasfollows:

1.SERVICES

TheServicesshallbeperformedtheContractorinaprofessionalandworkmanlikemanner,consistentwithindustrystandards.

2.TERM

ThetermofthisContractshallmenceontheEffectiveDateandshallcontinueuntilthepletionoftheServicesoruntilterminatedasprovidedinSection7below.

3.COMPENSATION

InconsiderationfortheperformanceoftheServices,theClientshallpaytheContractorthefollowingfees:

(a)Afixedfeeof_______($_______)uponthepletionoftheServices;and

4.INTELLECTUALPROPERTYRIGHTS

TheContractorwarrantsthattheworkproductdeliveredtotheClientshallbeoriginalandfreefromanyclmofinfringementofanyintellectualpropertyright.TheContractorgrantstheClientanon-exclusive,worldwide,royalty-freelicensetouse,reproduce,modify,anddistributeanyworkproductdeliveredhereunder.

5.CONFIDENTIALITY

TheContractoracknowledgesthat,inthecourseofperformingtheServices,itmayhaveaccesstocertnproprietaryandconfidentialinformationoftheClient,including,butnotlimitedto,tradesecrets,processes,methods,andotherconfidentialinformation("ConfidentialInformation").TheContractoragreestomntntheconfidentialityofsuchConfidentialInformationandnottodiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheClient.

6.INDEMNIFICATION

TheContractoragreestoindemnifyandholdharmlesstheClientfromanyandallclms,liabilities,andexpenses,includingreasonableattorney'sfees,arisingoutoforinconnectionwithanybreachtheContractorofitsobligationsunderthisContract.

7.TERMINATION

EitherPartymayterminatethisContractatanytimeuponwrittennoticetotheotherParty.Intheeventoftermination,theClientshallpaytheContractorforallServicesperformeduptothedateoftermination,subjecttothetermsofSection3above.

8.MISCELLANEOUS

(a)EntireAgreement:ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,whetherwrittenororal,relatingtothesubjectmatterofthisContract.

(b)Amendments:ThisContractmaybeamendedormodifiedonlyawritteninstrumentexecutedbothParties.

(c)GoverningLaw:ThisContractshallbegovernedandconstruedinaccordancewiththelawsof_______,excludingitsconflictoflawsprinciples.

(d)DisputeResolution:AnydisputesarisingoutoforrelatedtothisContractshallberesolvedthroughbindingarbitrationinaccordancewiththerulesofthe_______,andthedecisionofthearbitrator(s)shallbefinalandbindingupontheParties.
