MutualNDA -HK\13674.2HK\13674.2HK\13674.2HK\13674.2 -MUTUALNON-DISCLOSUREAGREEMENT客户保密协议 -ThisMutualNon-DisclosureAgreement(the“Agreement”)ismadeandenteredintoasof[],[](the“EffectiveDate”)byandbetween[]（PURCHASER）,asonePartytothisAgreement,and[]（VENDOR）,astheotherPartytothisAgreement.TheaforementionedpartiesshallbereferredtothroughoutthisAgreementindividuallyasa“Party”orcollectivelyasthe“Parties.”[公司]（买方）及[公司]（卖方）于[],[]（“生效日”）签订本保密协议（“协议”）。在本协议中，上述协议各方将单称为“一方”或统称为“各方”。1.Purpose.ThePartieswishtoexploreabusinessopportunityofmutualinterest(the“Opportunity”)andinconnectionwiththeOpportunity;eachPartymaydisclosetotheotherPartycertainconfidentialtechnicalandbusinessinformationwhichthedisclosingPartydesirestotreatasconfidential.协议目的：协议各方希望寻求可以达到互利目的的商业机会（“商机”）。在与商机有关的业务活动中，一方可能向另一方披露某些秘密的技术信息和经营信息，披露方需要信息接受方对这些信息保密。2.“ConfidentialInformation”meansanyinformationdisclosedbyeitherPartytotheotherParty,eitherdirectlyorindirectlyinwriting,orally,orbyinspectionoftangibleobjects(includingbusinessplans,customerdata,designs,documents,drawings,engineeringinformation,financialanalysis,hardwareconfigurationinformation,inventions,marketinformation,marketingplans,processes,products,productplans,research,services,specifications,software,sourcecodeortradesecrets,andothertechnicalandmarketrelatedinformation).ConfidentialInformationmayalsoincludeinformationdisclosedtoadisclosingPartybyathirdparty.ConfidentialInformationshallnot,however,includeanyinformationwhich(i)waspubliclyknownandmadegenerallyavailableinthepublicdomainpriortothetimeofdisclosurebythedisclosingParty;(ii)becomespubliclyknownandmadegenerallyavailableafterdisclosurebythedisclosingPartytothereceivingPartythroughnoactionorinactionofthereceivingParty;(iii)isalreadyinthepossessionofthereceivingPartyatthetimeofdisclosurebythedisclosingPartyasshownbythereceivingParty'sfilesandrecordsimmediatelypriortothetimeofdisclosure;(iv)isobtainedbythereceivingPartyfromathirdpartywithoutabreachofsuchthirdparty'sobligationsofconfidentiality;(v)isindependentlydevelopedbythereceivingPartywithoutuseoforreferencetothedisclosingParty'sConfidentialInformation,asshownbydocumentsandothercompetentevidenceinthereceivingParty'spossession;or(vi)isrequiredbylawtobedisclosedbythereceivingParty,providedthatthereceivingPartyshallgivethedisclosingPartywrittennoticeofsuchrequirementpriortodisclosingsothatthedisclosingPartymayseekaprotectiveorderorotherappropriaterelief.“保密信息”指一方向另一方直接或间接，口头、书面或以其他有形载体披露的信息（包括经营计划、客户数据、设计方案、文件、图纸、工程信息、财务分析、硬件结构信息、发明、市场信息、营销计划、工艺流程、产品信息、产品计划、研究信息、服务信息、规格、软件、初始密码或商业秘密，以及其它与技术和市场相关的信息）。保密信息可以包括由第三方披露给披露方的信息。然而，保密信息不应包括（1）在披露方披露之前已被公众所知晓，在公开场所可正常获得的信息；（2）在披露方披露之后因非接收方的作为或不作为之因素导致被公众所知晓，在公开场所可正常获得的信息；（3）在披露方披露该信息时在接收方的档案资料和记录中显示接收方已经拥有的信息；（4）接收方从第三方（前提：该第三方未违反保密义务）获得的信息；（5）接收方的文件和其他有效证据显示是其在未使用或参照披露方信息的情况下独立开发、研制的信息；或（6）法律要求接收方泄露的信息，但在泄露之前，接收方应当书面通知原披露方，以便原披露方可申请保护指令或获得其他适当的救济措施。3.Non-DisclosureandNon-Use.EachPartyagreesnottodiscloseanyConfidentialInformationorthefactthatdiscussionsornegotiationsaretakingplacebetweenthePartiestothirdparties,itsemployees,customers,suppliersorassociatedentities,excepttothoseemployees,customers,suppliersorassociatedcompaniesofthereceivingPartywhoareconfirmedinwritinginadvancebythePartiestoberequiredtohavetheinformationinordertoevaluateorengageindiscussionsconcerningtheOpportunity.EachPartyagreesthatitwillnot,withoutthepriorwrittenconsentoftheotherParty,disclose(unlessrequiredbylaw)toanyotherpersonthefactthattheConfidentialInformationhasbeendisclosedunderthisAgreementoranyoftheterms,conditions,statusorotherfactswithrespectthereto.EachPartyagreesnottouseanyConfidentialInformationforanypurposeexcepttoevaluateandengageindiscussionsconcerningtheOpportunity.NeitherPartyshallreverseengineer,disassembleordecompileanyprototypes,softwareorothertangibleobjectswhichembodytheotherParty’sConfidentialInformationandwhichareprovidedtothePartyhereunderunlessconsentforsuchactionsisreceivedbythePartythatownstheobject.NeitherPartyshallmakeanycopiesoftheotherParty’sConfidentialInformationunlessthesamearepreviouslyapprovedinwritingbythedisclosingParty.EachPartyshallreproducetheotherParty’sproprietaryrightsnoticesonanysuchapprovedcopies,inthesamemannerinwhichsuchnoticesweresetforthinorontheoriginal.禁止泄露与禁止使用：各方同意任何一方将不会将保密信息或各方正在进行协商或谈判的事实泄露给第三方、自己一方员工、客户、供应商或关联单位，接收方的那些需要就商机进行评估或洽谈的员工、客户、供应商或关联单位在双方事先书面确认需要知悉该信息时除外。各方同意，在未事先征得对方书面同意的情况下（法律要求的除外），将不向任何其他人泄露保密信息已经根据本协议被披露的事实或相关协议条款、条件、交易状况或其他事实。各方同意，除了出于对商机进行评估与洽谈的目的之外，不将任何保密信息用于其他任何目的。任何一方均不应将对方依据本协议提供的含有对方保密信息的样品、软件或其他有形载体进行技术工程反推、拆散、编辑分解，拥有该物所有权的一方同意的除外。任何一方均不应将其他协议方的保密信息进行拷贝备份，信息披露方事先书面同意的除外。对经信息披露方同意拷贝的备份，拷贝方应当将对方的专有权通知以与该通知在原件中发出的相同样式复制在经拷贝的该备份上。
