BorrowingAgreement

ThisBorrowingAgreement,hereinafterreferredtoas"theAgreement,"ismadeandenteredintothis__dayof__,20__,byandbetween__(hereafterreferredtoasthe"Lender")and__(hereafterreferredtoasthe"Borrower").

TermsandConditions:

1.BorrowedItem(s):TheBorroweragreestoborrowthefollowingitem(s)fromtheLender:__(describetheitem(s)indetail,includinganyspecificidentificationnumbersormarkings).

2.Duration:TheBorrowershallkeeptheborroweditem(s)foraperiodof__(statethedurationoftheborrowingperiod,includingspecificstartandenddates).

3.CareandResponsibility:TheBorroweragreestoexerciseutmostcareandresponsibilityinthehandlinganduseoftheborroweditem(s).Theitem(s)shallbeusedsolelyforitsintendedpurposeandincompliancewithallapplicablelawsandregulations.

4.ReturnCondition:UpontheterminationofthisAgreement,theBorrowershallreturntheborroweditem(s)totheLenderinthesameconditionasreceived,reasonablewearandtearexcepted.AnydamagesorlossesincurredduringtheborrowingperiodshallbetheBorrower'sresponsibilityandshallbepromptlyreportedtotheLender.

5.Liability:TheBorrowershallassumesoleliabilityforanyinjuries,damages,claims,orlossesarisingfromtheuseorpossessionoftheborroweditem(s)duringtheborrowingperiod.TheBorrowershallindemnifyandholdtheLenderharmlessfromanyliabilityorcostsincurredasaresultofsuchevents.

6.LossorDamage:Intheeventofloss,damage,theft,ordestructionoftheborroweditem(s),theBorrowershallpromptlynotifytheLender.TheBorrowershallberesponsibleforreimbursingtheLenderfortherepairorreplacementvalueoftheitem(s)unlesssuchlossordamageiscoveredbyinsurance.

7.Insurance:TheBorrowershallmaintainappropriateinsurancecoveragefortheborroweditem(s)duringtheborrowingperiod,withtheLenderlistedasalosspayeeoradditionalinsured,asrequiredbytheLender.

8.Non-transferability:TheBorrowershallnotloan,sublet,ortransfertheborroweditem(s)toanythirdpartywithoutthepriorwrittenconsentoftheLender.

9.GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof__(statetheapplicablejurisdiction).

10.EntireAgreement:ThisAgreementconstitutestheentireagreementbetweentheLenderandtheBorrowerandsupersedesanypriorunderstandings,agreements,orrepresentations,whetheroralorwritten.

11.Severability:IfanyprovisionofthisAgreementisheldinvalid,illegal,orunenforceable,thevalidity,legality,orenforceabilityoftheremainingprovisionsshallnotbeaffectedorimpaired.

12.Amendments:AnyamendmentsormodificationstothisAgreementshallbeinwritingandsignedbybothparties.

InWitnessWhereof,thepartiesheretohaveexecutedthisBorrowingAgreementasofthedayandyearfirstabovewritten.
