Terms

PAYMENT:

ThebuyershallopenwithanacceptabletotheSelleranIrrevocableLetterofCreditat60daysaftersight,reachingtheSellernotlaterthanOct.25,2012.

INSPECTION:

ItismutuallyagreedthatheCertificateofQualityandWeightissuedbyChinaEntry-ExitInspectionandQuarantineBureau.

DiscrepancyandClaim

AnyclaimbytheBuyersregardingthecargoshallbesupportedbysurveyreportissuedbyasurveyorapprovedbytheSellerandlodgedwithin45daysafterthearrivalofthecargoattheportofdestinaton.TheSellerwillnotconsiderclaimsinrespectofmatterswithinresponsibilityofinsurancecompanyorshippingcompany.

Quality/QuantityDiscrepancyandClaim:

Incasethequalityand/orquantity/weightarefoundtheBuyerstobenotinconformitywiththeContractafterarrivalofthegoodsattheportofdestination,theBuyersmaylodgeclaimwiththeSellerssupportedbysurveyreportissuedbyaninspectionorganizaitonagreeduponbybothparties,withtheexception,however,ofthoseclaimsforwhichtheinsurancecompanyand/ortheshippingcompanyaretobeheldresponsible.ClaimforqualitydiscrepancyshouldbefiledbytheBuyerswithin30daysafterarrivalofthegoodsattheportofdestination,whileforquantity/weightdiscrepancyclaimshouldbefiledbytheBuyerswithin15daysafterarrivalofthegoodsatportofdestination.TheSellersshall,within30daysafterreceiptofthenotificationoftheclaim,endreplytotheBuyers.

ValidityofClaim

TheBuyershavetherihgttolodgeclaimsforalllossessustainedwithin60daysafterdischargeofthegoodsattheportofdestination.

ForceMajure

TheSellershallnotbeheldresponsibleforlatedeliveryornon—deli

eryofthegoodsduetoflood,fire,earthquake,snowstorm,drought,hailstorm,h

urricane,orothereventsthatarebeyondthecontroloftheSeller.ButtheSell

ershallnotifytheBuyerbycabelassoonaspossibleandgivetheBuyerac

ertificateby6registeredmailissueddbytheChinaCouncilforthePromotion

ofInternationalTradeorothercompetentauthorities.

Ifshipmentofthecontractedgoodsispreventedordelayedinwholeorinpar

tduetoForceMajeure,theSellersshallnotbeliablefornon—shipmentorla

teshipmentofthegoodsunderthisContract.However,thesellershallnotify

theBuyersbyfaxortelexandfurnishthelatterwithin15daysbyregisteredairmailwithacertificateissuedbythecompetentauthoritiesattheplaceofoccurrenceattestingsucheventorevents.

ThiscontractshallbegovernedbythelawsofthePeople’sRep
