□不容许NotAllowed6.保险INSURANCE6.1负责投保方InsuranceCoveredBy:□买方Buyer□卖方Seller6.2若卖方负责投保，则由卖方按本协议发票金额110%从启运地至最终目的地投保-险和附加险。IftheSellerisresponsiblefortheinsurance,insuranceshallbecoveredbytheSellerfor110%oftheInvoicevalueagainstRisksandAdditionalRisksfromtheplaceofdeparturetothefinaldestination.7.包装和运送标识PACKINGANDSHIPPINGMARK7.1卖方采用的包装应当是适合长途运送的包装，并采用防湿、防潮、抗震、防锈、抗野蛮搬运等防护措施。Tobepackedincase(s)/carton(s)suitableforlongdistancetransportationandwellprotectedagainstdampness,moisture,shock,rustandroughhandling.7.2运送标识：在包装箱的每一面都应当明显印刷有包装箱号、箱体尺寸、毛重、净重、搬运点以及“小心轻放”等警示字样。ShippingMark:Onthesurfaceofeachpackage,thepackagenumber,measurement,grossweight,netweight,theliftingpositions,warningssuchas“HANDLEWITHCARE”shallbeprintedclearly.8.单据DOCUMENTSREQUIRED8.1卖方凭下列单据向付款银行议付货款：TheSellershallpresentthefollowingdocumentstothepayingbankfornegotiationofpayment:a.全套可议付的清洁已装运提单，空白昂首。（如系CIF条款则注明“运费已付”，如系FOB条款则注明“运费待收”），并告知到货口岸-运送企业。FullsetofNegotiableCleanonBoardBillsofLadingmarked“freightprepaid”forCIFTermsor“freighttocollect”forFOBTerms,andmadeouttoorder,andnotifying(transportcompany)attheportofdestination.b.3份商业发票原件，并注明协议号、信用证号和唛头。Commercial

9.质量保证WARRANTYFORTHE

QUALITYOFCOMMODITY9.1卖方保证其所提供的货品系用最佳的材料和工艺制造，保证其所提供的货品为全新的未曾使用过的，并且符合本协议约定。The

guarantee

that

the

Commodity

hereof

shallbemadefromthebestmaterialandbythefirstworkman-shipandnewlymanufactured,unusedandcomplieswiththisContract.10.索赔CLAIMS10.1货到目的港后,买方如发现货品质量、数量或重量与协议规定不符，除属于保险企业或货运企业的责任外，买方可以凭双方同意的检查机构出具的检查证明向卖方提出异议，质量异议须于货到目的港之日起20日内提出，数量或重量异议须于货到目的港之日起10日内提出。买方逾期提出异议的，卖方将不负任何责任。Incasethequality,quantityandweightarefoundbytheBuyernottoconformwiththecontractafterarrivalofthecommodityattheportofdestination,theBuyermaylodgeaclaimagainsttheSellersupportedbyasurveyreportissuedbyaninspectionorganizationagreeduponbybothpartieswiththeexceptionofthoseclaimsforwhichtheinsurancecompanyand/ortheshippingcompanyaretobeheldresponsible.ClaimforqualitydiscrepancyshouldbefiledbytheBuyerwithin20daysafterarrivalofthegoodsattheportofdestinationwhileforquantity/weightdiscrepancyclaimshouldbefiledbytheBuyerwithin10daysafterarrivalofthecommodityattheportofdestination.Iftheclaimisoverdue,the

Seller

will

not

be

held

responsible

foranydiscrepancycliam.11.不可抗力FORCEMAJEURE11.1如因不可抗力原因致使卖方不能履约或延期交付本协议项下所有或部分货品，卖方不负任何责任。TheSellershallnotbeheldresponsibleforfailureordelayindeliveryoftheentireorportionofthecommodityunderthisContractinconsequenceofanyForceMajeureaccident.12.仲裁及适使用方法律ARBITRATIONANDGOVERNINGLAW12.1在履行本协议过程中发生的或与本协议有关的所有争议由双方友好协商处理。假如未能协商处理，则提交位于北京的中国国际经济和贸易仲裁委员会仲裁处理，按照申请仲裁时该仲裁委员会实行的仲裁规则进行仲裁。该仲裁委员会的仲裁裁决是终局的，买卖双方均应受其约束。仲裁费用由败诉一方承担。AlldisputesarisingfromtheexecutionoforinconnectionwiththeContractshallbesettledthroughfriendlyconsultationbetweenbothparties.Shouldnoagreementbereachedthroughconsultation,thedispute(s)shallthenbesubmittedforarbitrationtoChinaInternationalEconomicandTradeArbitrationCommission,Beijing,inaccordancewiththeexistingrulesofthesaidCommission.ThedecisionrenderedbythesaidCommissionshallbefinalandbindinguponbothparties.Bothpartiesshallexecutethedecisionaccordingly.Thearbitrationfeeshallbebornebythelosingparty.12.2在仲裁阶段，除提交仲裁的部分外，买卖双方应继续履行协议。Inthecourseofarbitration,theContractshallbeexecutedcontinuouslybybothpartiesexceptthosepartsunderarbitration.12.3本协议及其解释合用中华人民共和国法律。ThisContractshallbegovernedbyandinterpretedinaccordancewithLawsofthePeople’sRepublicofChina.13.协议生效及其他EFFECTIVENESSOFCONTRACTANDMISCELLANEOUS13.1本协议在双方签字盖章后生效。本协议正本2份，双方各执1份，具有同等法律效力。ThisContractshallbecomeeffectiveimmediatelyafterbeingsignedandsealedbythetwopartiesconcerned.ThisContractiswrittenin2originals,bothoriginalshavingthesameforce,1ofwhichisheldbyeachparty.13.2本协议以中文和英文两种语言书写。假如中文版本与英文版本发生冲突，以中文版本为准。ThisContractismadeoutandwritteninChine
