室内装修设计协议AGREEMENTOFHOUSEINTERIORDESIGNThisAGREEMENTOFINTERIORDESIGNmadethisdateofbetweenA(hereinaftercalled"theClient"whichexpressionincludestheirlegalrepresentatives,successorsintitleanassigns)oftheonepartandBpracticingasdesignconsultantatC(hereinaftercalled“theDesigner"whichexpressionincludeshis/legalrepresentatives,successorsintitlesandpermittedassigns)oftheotherpart.WHEREAStheClientintendstoconstructandcomplete.(hereinaftercalled'theproject');ANDWHEREAStheClientisdesirousofappointingtheDesignertoprovideprofessionaldesignservicesfortheProjectonthetermsandconditionshereinafterappearingITISHEREBYAGREEDBETWEENTHEPARTIESHERETOASFOLLOWS:本设计协议由甲方（客户）和乙方（设计顾问）及丙方（设计公司）于 日签订。鉴于客户意欲建设并完成本工程；鉴于客户愿意指定设计公司依照以下条款为本工程提供专业设计服务。因此，双方达成协议如下：1.0SCOPEOFWORK 服务范围1.1Interiorlayoutandspatialre-planningofallareas.室内布局和所有领域的空间重新规划。1.2Interiordesignconceptualizationanddesignimplementation.室内设计构思和设计实施。1.3Interiorfinishesadvice,specificationandimplementation.室内饰面咨询，规范和实施。1.4Interiorlightingconceptualization,selectionandimplementation.室内灯具构思、选择和实施。1.5Interiorfixturesspecificationanddesignforcustommade&builtinfurnitureordoorsnotalreadyinthearchitecturalschedule.为客户制作或建造于不包括建筑物内已有的家具或门上的室内固定物或附着物的规范和设计1.6Loosefurnitureconsultationandselection. 活动家具的咨询和选择1.7Preparationofallnecessarydocumentsfortheimplementationfortheproject.本项目实施所需全部必要文件的准备1.8Coordinationwithappointedcontractors,suppliers,specialistsandotherconsultants.与指定承建商、供应商、专家和其他顾问的协商1.9Periodicalprojectsupervisionofitems1.1to1.8duringconstruction.施工期间对条款 1.1至1.8的履行进行阶段性项目监督1.10Sketchesfollowedbycomputerized3Dperspectives(inhouse)ofmainareas.室内主要领域的三维电脑视觉效果的草图2.0EXCLUSIONS 除外方面2.1AreasnotincludedintheDesignConsultant ’sscopeofworkareExternalBuildingWorks,CivilandStructuralEngineering,ExternalLandscape,MechanicalandElectricalEngineering,Plumbing&AirConditioningEngineering,QuantitySurveying&Computer3Danimation.不包含在设计咨询服务范围的领域是室外建造工程，土木及结构工程，外部景观，机电工程，水暖和空调系统工程，工料测量和电脑三维动画。2.2Whilethescopeofworksincludessupervisionandinstallation,itdoesnotcoverthemaintenanceordefectsliabilityperiodfollowingtheawardofthe

服务的定义5.1ConceptualDesignPhase

概念性设计阶段Understandingofclient ’sneedandformulationofconceptdesignforclient

’sapproval.IncludesadvisingoftheneedforAuthoritysubmissionsandadditionalconsultantswhereappropriate.ConceptIllustrationswillbepreparedfortheclient

’sunderstandingofthedesignintent.Nodetailingisdoneatthisstage.Subsequentchangesaftertheapprovalofconceptdesignaredeemedadditionalservicesandshallbechargeableaccordingtoparagraph7.0unlessotherwisestated.了解客户的需求，制作经客户同意的概念型设计。包括咨询相关管理当局和其他合适的咨询顾问的需求。概念插图是为客户理解设计意图而准备的。该阶段不进行任何细节设计。在客户批准概念性设计后的后续变更应该被视为额外的服务，应根据第7条收取相应款项，除非双方另有约定。5.2DesignDevelopmentPhaseDevelopmentoftheapprovedconceptdesignforclient ’sapproval.Includespreparationofworkingdrawingsforconstruction,andselectionofmaterialsandfinishes.对经客户批准的概念性设计进行深化。包括为建设施工用的工作图纸的准备，材料和饰面的选择。Appointedconsultantsshallbecoordinatedtoproduceacompletedesign.制定顾问应协调制作出一个完整的设计。Necessarydetailingwillbeproducedatthisstage. 必要的细节设计将在该阶段完成。Projectcostincrementcanbeimplementedatthisstageifclientdesireforbetterqualitymaterial/finishesthatisnotprovidedforintheoriginalbudgetoradditionalservices.该阶段客户可以要求获得质量比最初商谈提供或额外服务中约定的质量更好的材料或饰面，相应调增相关项目费用。AdjustedprojectfeeshallproposebyDesignConsultantinthe

7条收取相应款项。5.4ConstructionPhase 建设施工阶段Implementationoftheapproveddesign. 7条收取相应款项。Inaddition,adelayfeeshallbechargedforadditionalcostoflabour,overheads,warehousing,andmaterialcostinaccordancetothescheduleinthespecificationsastheresultofdelaysandcostincurredbysuchrequest.此外，设计方有权收取因延误施工工期而导致的人工费用、间接成本、仓储和材料费用等逾期费用，以及因此而导致的的其他损失。6.0AMENDMENTOFAPPROVEDDRAWINGSBYDESIGNCONSULTANT设计终稿的变更6.1TheDesignConsultantreservedtherighttochangeapproveddesign,detailing,materials,finishesandspecificationduetounforeseencircumstancesthatisnotwithinthecontroloftheDesignConsultant.Suchchangesshallbecommutedtotheclientandnoadditionalservicechargeshallbepayablebytheclient.Howeveradditionalcostincurredtolabourandmaterialshallbereimbursedbytheclient.由于不可预见即设计方无法掌控的情况，设计方保留对设计终稿的设计、细节设计、材料、完成和规范的修改权。此等设计修改应减轻客户的义务，即客户无需就该等设计的修改向设计方支付额外的费用。但额外的人工费和材料费应由客户承担。7.0COMPENSATIONFORADDITIONALSERVICES 额外服务费用7.1Forprojectrepresentationbeyondthatisalreadymentioned,compensationshallbecomputedasfollows:DollarsPerHour(S$100.00/Hour)对于上述提到的额外服务的补偿费，应按每小时 元计算7.2ThisServiceshallbeapprovedbyclientinwritingbeforetheDesignConsultantprovidessuchservices.设计方在提供额外服务前应获得客户事先的书面许可。7.3IncaseswhichDesignConsultantwaveredorloweredchargesofadditionalservicesofaparticularrequest,theyaredeemedoneoffprovisionofthesubjectmatterconcern,anddonotrenderthisparagraphvoidforsubsequentrequestarising,eveniftheyaresimilarrequests.除非设计方同意对某项特定的额外服务给予优惠或降低收费，否则他们对于每一特定主题的收费是单独收费，不会因为之后而来设计要求是相似的而放弃收取费用。8.0REIMBURSABLEEXPENSES可补偿费用8.1ReimbursableExpensesareinadditiontocompensationforbasicandadditionalservices.ItshallincludecostincurredbytheDesignConsultantanditsemployeesintheinterestoftheproject,asidentifiedinthefollowingclauses.可补偿费用是指除基本和附加服务外的费用。包括设计方及其工作人员为了项目利益而发生的费用，具体由以下条款确认。8.2ExpensesforalltravelrelatedcostincludingbusinessclassairfareswithSingaporeAirlinesorEquivalent,5starhotelaccommodation,surfacetransportationandluggagehandlingorcourierservices.包含新加坡航空商务舱或其他等价机票、五星级酒店住宿费、地面交通费、包裹搬运费或快递服务费在内的相关差旅费。8.3Expenseforprofessionalandperspectivedrawingsand/orscalemodelsattherequestoftheclient,plus10%handlingcharge.客户要求的专业效果图纸和 /或测绘模型的费用以及 10%的手续费。8.4Expenseforcourierservices,postageandhandlingofdrawings,specificationandotherdocuments.快递服务费，图纸、说明书和其他相关文件的邮费及包装费8.5Expenseforcolourprintsorcolourslideswhenrequestedbyclient.客户要求的彩印或者彩色幻灯片费用。8.6Professionalfeesandreimbursableexpensesofsupportingconsultants.辅助顾问的专业费用和可补偿费用。8.7Documentationandlithographycost,andfeespayabletoauthoritieswhererelevant.文件及印刷费用，以及支付给相关政府部门的费用。8.8SiteStaffsappointedandwillactunderthedirectionoftherelevantconsultants.Clientshallreimbursetheconsultantallexpensesincurredbysuchappointment.任命工地人员且在相关顾问的指导下工作。客户应当补偿该顾问在此任命下发生的所有花费。9.0PAYMENTWITHHELD支付扣留9.1NodeductionsshallbemadefromDesignconsultant’scompensationduetopenalty,liquidateddamages,orduetothecostofchangesintheWorksotherthanthose,whichtheDesignConsultanthasbeenfoundliabledueto,beliable.TheDesignConsultant’sworkshallbedeemedtobecompleteupontheimplementationoftheworkbasedontheapprovedworkingdrawingsundertheDesignDevelopmentPhase.以下费用不得被抵扣：（1）设计方由于罚金、违约金而获得的赔偿金；（2）除了被确认的由于设计方的责任而导致的设计变化而产生的费用。基于在设计开发阶段被批准的设计图纸开始施工时设计方的工作即被视为已完成。10.0DAMAGEORDESTRUCTIONOFWORKS 工程毁损10.1Ifatanytimebeforethecompletionoftheproject,theworks,orequipmentoranypartthereofshallbedamaged,ordestroyedbyoperationofwar,riot,civilcommotion,naturalcatastrophe,oranyothercircumstancesbeyondthecontroloftheDesignConsultant,theclientmayrequiretheDesignConsultanttoresumeworkontheproject.TheDesignConsultantmaydosouponnotificationinwritingbytheclient.However,theremedialworkandsubsequentadditionalworksrelatingtotheprojectshallbesubjectedtoamutuallyagreedfee,beforetheworkisresumed.在项目竣工前的任何时间，如若发生由于战争，动乱，内乱，自然灾害或者其他任何不在设计方控制内的事件而导致工程、设备或者其他设施毁损灭失的，客户有权要求设计方重新开始工程的相关工作。设计方应当在收到客户的书面通知后开始工作。在工作重新开始前，双方应当确认好补救工作和随后的附加工作的具体费用。11.0CAREANDDILIGENCE 谨慎勤勉义务11.1TheDesignConsultantshallexerciseallskill,careanddiligence,andshalldischargehisobligationsunderappointmentinaccordancetosoundprofessionalpractice.设计方应该运用专业技能勤勉谨慎地履行合同，并且按照约定根据合理的专业实践履行义务。12.0TERMINATION 合同终止12.1Theobligationtoprovidefurtherservicesunderthisagreementmaybeterminatedbyeitherpartyupon14dayswrittennoticeintheeventofsubstantialfailurebytheotherpartytoperforminaccordancetothetermthroughnofaultoftheterminatingparty.如若发生导致合同实际履行不能的事件，一方在无过错的前提下提前 14日书面通知另一方后合同义务即告终止。12.2Theclientuponmayterminatethisagreementnotlessthan14dayswrittennoticetotheDesignConsultantintheeventthattheprojectispermanentlyabandoned.Iftheclientabandonstheprojectfor90consecutivedays,theDesignconsultantmayterminatetheagreementbywrittennotice.如若工程被永久废弃，客户需提前 14日书面通知设计方以终止合同。如果客户持续日废弃该工程，设计方可书面通知终止合同。12.3Theagreementmaybeterminatedifeitherpartycommitsabreachofagreementandfailstoremedywithin14daysafterthenotificationinwritingspecifyingthebreachandrequiringitsremedy.一方违约后，另一方可以通知对方采取补救措施。违约方在收到对方的书面通知后 14日内未能成功补救的，未违约方可以终止合同。12.4Thiscontractsshallterminatewithimmediateeffectifeitherpartycommitsanactofbankruptcyofcommerceproceedingofwindingup(otherthanforreasonofamalgamationorreconstructionofthecompany),orifanadministrator,liquidatororreceiverisappointedforthewholeorpartofthebusinessoftheparty.一方进入破产程序（公司合并或者重组除外）后，或者清算人或破产管理人被指派接管其全部或部分事务，本合同即告终止。12.5Intheeventofanytermination,theDesignConsultantshallbepaidforallservicesrenderedtothedatedoftermination,includinganyreimbursableexpensesandterminationexpenses.TheDesignConsultantshallsubmithisaccountforthebalanceofpaymentwith30daysoftermination.Theclientshallpayalloutstandingfeeswithin30daysuponthereceiptoftheaccount.Amonthlyinterestof1%ischargeableifpaymentduetotheDesignConsultantisnotreceive
