-11-Agreement神州行预付卡清算协议核心提示：AGREEMENTREGARDINGTHEROAMINGSETTLEMENTOF_________PRE-PAIDSERVICESANDREVENUESHARINGOFSALESOFADDEDVALUEFORVALUE-ADDINGCARDSBETWEENAAACORPORATIONANDBBBLIMITEDDATEDASOF_________,_________,_________(M,D,Y)AGREEMENTREGARDINGAGREEMENTREGARDINGTHEROAMINGSETTLEMENTOF_________PRE-PAIDSERVICESANDREVENUESHARINGOFSALESOFADDEDVALUEFORVALUE-ADDINGCARDSBETWEENAAACORPORATIONANDBBBLIMITEDDATEDASOF_________,_________,_________(M,D,Y)AGREEMENTREGARDINGTHEROAMINGSETTLEMENTOF_________PRE-PAIDSERVICESANDREVENUESHARINGOFSALESOFADDEDVALUEFORVALUE-ADDINGCARDSThisAgreementisexecutedbythefollowingtwopartieson_________,_________,_________(M,D,Y)in_________:AAACORPORATION,awhollystate-ownedcorporateentitydulyestablishedandexistingunderthelawsofthePeople’sRepublicofChina,withitslegaladdressat_________(PartyA);andBBBLIMITED,alimitedliabilitycompanydulyestablishedandexistingunderthelawsof_________,withitslegaladdressat_________(PartyB).WHEREAS:1.PartyAcurrentlyimplementscentralizedmanagementnationwideofthesalesofthePre-paidCardsandValue-addingCards,theinterconnectionandroamingservicesamongnetworksandtherelatedaccountsettlementinconnectionwiththe_________Pre-paidCardsandValue-addingCardsservice.2.PartyBisacompanylistedonCCCLimited(CCC)andDDD,Inc.,withabout25%ofitsissuedandoutstandingsharesbeingheldbyoverseasinvestors,andPartyAisitsindirectcontrollingshareholder;3.PartyB’scurrentsixoperatingsubsidiariesownandoperatethecellularmobilephonenetworkspreviouslyownedbyPartyAintheprovincesof_________,_________,_________,_________,_________and_________(collectively,PartyB’scurrentoperatingregions);4.InaccordancewithPartyB’sacquisitionproposalasapprovedbytherelevantdepartmentoftheStateCouncil,PartyBdesirestoacquirethecellularmobilephonenetworkspreviouslyownedbyPartyAintheprovinces,municipalitiesandautonomousregionof_________,_________,_________,_________,_________,_________,and_________(theabovesevenprovinces,municipalities,andautonomousregioncollectivelyreferredtoasoperatingregionstobeacquiredbyPartyB,PartyB’scurrentoperatingregionsandtheoperatingregionstobeacquiredbyPartyBcollectivelyreferredtoasPartyB’soperatingregions,andtheoperatingsubsidiariesinsuchoperatingregionscollectivelyreferredtoasPartyB’soperatingsubsidiaries);5.PartyBhasbeengrantedrelevantexemptionsbyCCConPartyB’srelatedpartytransactionsinaccordancewiththelistingrulesofCCC;andageneralshareholdermeetingwillbeconvenedtoseektheindependentshareholdersofPartyBwhoaredeemedtobeindependentinaccordancewiththelistingrulestoapproverelevanttransactions.6.ThesixoperatingsubsidiariesinPartyB’scurrentoperatingregions(namely,_________,_________,_________,_________,_________and_________)andthesevenoperatingsubsidiariesintheoperatingregionstobeacquiredbyPartyB(namely,_________,_________,_________,_________,_________,_________and_________)currentlyconductsalesofthe_________Pre-paidCardsandValue-addingCardsintheirrespectiveoperatingregion,andthe_________Pre-paidCardsubscribersofbothPartyAandPartyBneedPartyAandPartyBtoprovidedomesticinter-provincialinterconnectionandroamingservices.THEREFORE,thePartiesreachthefollowingagreementthroughfriendlyconsultations.ARTICLEONECONDITIONSPRECEDENTTOEFFECTIVENESS1.1ThisAgreementshallnotcomeintoeffectuntilthefollowingconditionshavebesatisfied(unlessPartyBagreestowaiveranyofsuchconditions):1.1.1PartyBshallhavebeengrantedrelevantexemptionsbyCCCforPartyB’sconnectedtransactionsinaccordancewiththelistingrulesofCCC;1.1.2TheindependentshareholdersofCMHKwhoaredeemedtobeindependentinaccordancewiththelistingrulesshallhaveapprovedrelevanttransactions;and1.1.3PartyBshallhavecompletedtheacquisitionsofthesevenoperatingsubsidiariesintheoperatingregionstobeacquiredbyPartyB.1.2IftheconditionsetforthinArticle1.1.3aboveisnotsatisfied,thisAgreementshallbeapplicabletothesixoperatingsubsidiariesinPartyB’scurrentoperatingregions.ARTICLETWOGENERALPROVISIONS2.1PartyB’sexistingsixoperatingsubsidiaries,namely_________Mobile,_________Mobile,_________Mobile,_________Mobile,_________Mobileand_________Mobileinitscurrentoperatingregions,andthesevenoperatingsubsidiaries,namely_________Mobile,_________Mobile,_________Mobile,_________Mobile,_________Mobile,_________Mobile,and_________MobiletobeacquiredbyPartyBshallberesponsibleforthesalesof_________Pre-paidCardsandValue-addingCardsintheabove13provinces,municipalitiesandautonomousregion,andshallcomplywithPartyA’scentralizedbusinessmanagementmeasures.ARTICLETHREEPRINCIPLESFORREVENUESHARINGOFINTER-PROVINCIALSALESOFADDEDVALUEFORTHE_________VALUE-ADDINGCARDSA_________subscriber,i.e.,theholderofthePre-paidCard,maypurchaseaValue-addingCardinanotheroperatingregionandaddvalue,inwhichcasetheoperatingsubsidiaryinsuchsubscriber’shomeoperatingregion(i.e.,theoperatingregionwheresuchsubscriber’sPre-paidCardisregistered)shallsettleaccountswiththeoperatingsubsidiaryintheoperatingregionwheresuchValue-addingCardisregistered.Eighty-fivepercentoftheaddedvalueofsuchValue-addingCardshallbesettledfortheaccountoftheoperatingsubsidiaryinthehomeoperatingregionofsuch_________subscriber,andtheremaining15%shallbesettledfortheaccountoftheoperatingsubsidiaryintheoperatingregionwheresuchValue-addingCardisregistered.ARTICLEFOURSETTLEMENTPRINCIPLESFORDOMESTICINTER-PROVINCIALROAMINGOFTHE_________PRE-PAIDSERVICESPartyAandPartyBshallconductroamingsettlementinaccordancewiththeexisting_________Pre-paidServicesusagechargestandards,asmaybeadjustedfromtimetotime.4.1Settlementofbaseroamingchargeinconnectionwithdomesticinter-provincialroamingservices:Inrespectofroamingintoanotheroperatingregionbythe_________subscribersofbothParties,theoperatingsubsidiaryinthehomeoperatingregionofsuchsubscribersshallpay,throughsettlementwithPartyA,80%ofthebaseroamingcharge(currentlybeingRMB_________perminute)totheoperatingsubsidiaryinthevisitedoperatingregion.4.2Settlementoflongdistancechargewhenroaming:Inrespectofroamingintoanotheroperatingregionbythe_________subscribersofbothParties,theoperatingsubsidiaryinthehomeoperatingregionofsuchsubscribersshallpay,throughsettlementwithPartyA,totheoperatingsubsidiaryinthevisitedoperatingregionalllongdistancechargesincurredwhensuchsubscribersmakecallswhileroaming.Theoperatingsubsidiaryinthehomeoperatingregionofsuchsubscribersmaykeepalllongdistancechargesincurredwhensuchsubscribersreceivecallswhileroaming.4.3Currently,internationalroamingservicesarenotavailabletothe_________subscribers.Ifinternationalroamingservicesaremadeavailabletothe_________Pre-paidCardinthefuture,PartyAandPartyBwillenterintoasupplementalagreementprovidingforthesettlementoftherelevantinternationallongdistancechargesandbaseinternationalroamingchargesinaccordancewiththesettlementprinciplessetforthintheInter-ProvincialNetworkInterconnection,DomesticandInternationalRoamingandSettlementAgreement,dated_________,_________,_________(M,D,Y),betweenPartyAandPartyB.ARTICLEFIVEPRINCIPLESFORDOMESTICINTER-PROVINCIALROAMINGCLEARINGFEEThePartiesherebyacknowledgeandagreethat,inconsiderationofthedomesticinter-provincialroamingclearingservicesprovidedbyPartyAtoPartyB,PartyBshallpa
