5、nnegotiiationn withh eachh otheer equually, on ccargo handoover aand seettlemment aas folllows:总则ARTICLEE 1 Geenerall1.1 甲方作作为货物承运运人（国际航航空公司）的的货物处理代代理人，接受受承运人的委委托，在浦东东国际机场内内，处理承运运人承运的进进出港货物。Party AA is aauthorrized by thhe Carrrier (Intll. Airrliness) as the ccargo handlling aagent at Puudong Interr

6、natioonal Airpoort too handdle Caarrierrs innboundd/outbbound cargoo.1.2 乙方同同意在本协议议有效期内遵遵守甲方的操操作流程及有有关规定，配配合甲方迅速速完成货物的的交接，并保保证货物的正正常操作。Party BB agreees too compply wiith Paarty AAs opperatiion prroceduures aand reelatedd reguulatioons inn the term of vaaliditty andd coopperatee withh Partty A to qqu

8、andd new requiiremennts.出港货物交接ARTICLEE 2 Ouutbounnd Hanndoverr 双方同意根据实实际需要配备备人员设备，保保证货物交接接顺利进行，乙乙方负责将出出港货物送到到甲方货运站站，提交海关关报关放行的的航空货运单单和货物交接接清单。The Parrties agreee to aarrangge mannpowerr and equippment accorrding to acctual needss to eensuree carggo hannd-oveer smooothlyy. Parrty B is reesponssible f

9、or ttranspportinng carrgo too Partty A aand suubmittting tthe cuustomss cleaared AAWB annd thee Deliivery List (D/L).由乙方负责打板板装箱的货物物，必须满足足民航安检规规定“航班起飞前前24小时入库库”，否则必须须经安检检查查方能收货。甲甲方对货物内内容的短缺和和损坏及货物物受潮后产生生的损失不负负责任。木质质包装至美、加加等国的货物物需提供熏蒸蒸证明。The carrgo buuilt-uup by Partyy B muust bee put into the PParty

11、A annd Cannada is paacked with wood, Partty B sshouldd provvide tthe fuumigattion ccertifficatee.由甲方负责打板板装箱的货物物，乙方必须遵守守第2.7条规定的截截止交货时间间，甲方按交交接清单现场场查验，核收收航空货运单单和货物，乙乙方负责将货货物搬运上安安检入口，甲甲方负责在安安检出口处接接收，安检过过程中发生异异常情况的货货物或发现不不合规格货物物有可能使内内件短缺或损损毁等不正常常情况，甲方方可以拒收，交交乙方处理，若若发现货物交交接清单与实实物不符，由由乙方负责更更正后交甲方方。Party

PParty A hass the rightt to rrefusee acceeptingg carggo andd retuurningg it tto Parrty B in caase thhat Paarty AA findd out some irreggulariities or caargo nnot beeing uup to standdard mmaybe potenntiallly cauuses the conteents sshort or daamag

14、edd in tthe prrocesss of ssecuriity chheck. Partyy B shhould be liiable for mmodifyying aall doocumennts annd theen do redelliveryy provvided that the DD/L iss incoonsisttent wwith pphysiccal caargo.甲方有权对货物物进行实体检检查，对不符符合运输要求求或存在潜在在危险的货物物，甲方可以以拒绝收货。乙乙方在交运甲甲方货物中由由于包装不妥妥或其性质发发生变化而腐腐蚀污染其他他货物，乙方方应承担由此此产生

In case that the wweightt and volumme of shipmment eexceedd the tonnaage coont

19、方与与其所代理的的航空公司确确定的截止交交货时间（CCut-offf Timme），乙方方如超出规定定时间交货，由由此造成的延延误发运，甲甲方不承担任任何责任。Party B shoould oobey tthe Cuut-offf timee conffirmedd by PParty A andd the Carriier. 20、e.三进港货物交交接ARTICLEE 3 Innboundd Deliivery 3.1甲方应在在货物实际到到达其货运站站后，在与航航空公司商定定的时间内完完成货物的分分解并通知乙乙方。凡目的的站为上海浦浦东，航空货运单单上的收货人人为乙方或甲甲方认定可由由乙方代理交交付的货物，均均由乙方领收收并代为交付付与收货人。根据海关集中驳运的原则，从甲方仓库到乙方仓库的运输服务由同甲方签约的第三方运输公司通过海关监管卡车来实现。Party A shoould bbreak down goodss withhin thhe timme as mutuaally aagreedd withh the Ca

22、ing to thhe Cusstoms prinnciplee of “ccentraalizedd trannsporttationn”, thhe traansporrtatioon serrvice from Partyy As warehhouse to Paarty BBs waarehouuse wiill bee reallized by thhe thiird paarty ttranspportattion ccompanny conntractted wiith Paarty AA via Custooms boonded truckks.3.2 双方同同意用现场清清点交

23、接的方方式交接航空空货运单和货货物，由甲方方先理出航空空货运单，按按航空货运单单制作交接清清单，并将货货物移至交接接区域；乙方方按交接清单单查验，核收收航空货运单单和货物，在在交接单上签签字确认收讫讫后监督货物物装车。The Paartiess agreee to do thhe hannd-oveer of AWB aand gooods oon sitte. 26、idees. 3.4 甲方同同意就交接前前货物的丢失失、短缺、毁毁坏、潮湿等等情况与承运运人协商，分分清职责，由由过失方承担担由此产生的的经济损失；乙方同意对对交接后的丢丢失、短缺、破破损、毁坏、潮潮湿及交付错错误等负责，并并承担由此产产生的一切经经济损失。For thhe misssing goodss, shoortagee, dammage aand daamp ettc beffore ddeliveery, PParty A agrrees tto disscuss with Carriier annd claarify the ddutiess, andd the Partyy w

Forr the missiing gooods, shorttage, damagge, deestrucction, dampp and wrongg disttributtion aafter delivvery, Partyy B aggrees to beear alll posssiblee losss arissing.3.5 乙方应应在其海关监监管仓库配备备必需的装卸卸设备和人力力，以保证货货物在运达后后及时完成卸卸货工作。Party B shoou

28、ld aarrangge enoough eequipmments and mmanpowwer too guarranteee thatt breaakdownn is ddone ttimelyy afteer gooods arrrive at Parrty Bs Cusstoms bondeed warrehousse.3.6 进入乙乙方仓库的进进港货物，乙乙方应严格按按照航空货运运单上列明的的收货人，及及时通知收货货人提取；乙乙方不得以任任何理由积压压货物并以此此向收货人收收取不正当费费用，由此引引起的一切后后果由乙方承承担。For thhe inbbound goodss arri

30、 be respoonsiblle forr all conseequencces. 3.7 乙方如如发现有甲方方错分货物时时，乙方应尽尽快将货物退退还甲方仓库库，不得以任任何理由拖延延。If Parrty B foundd any goodss misttaken delivvered by Paarty AA, Parrty B shoulld retturn tthe gooods AASAP aand caannot delayy withh any reasoon.四费用结算ARTICLEE 4 Seettlemment 4.1 甲方凭凭双方签字的的货物交接清清单统计出每每月的进出港
