2、sTobettersafeguardtheBuyersandtheSellerslegitimaterightsandinterests,theBuyerandtheSellerareexpectedtoreadthroughthefollowingcontentscarefullybeforeconcludingthiscontract.Thetextofthiscontractisautomaticallygeneratedthroughthe“OnlineTransactionSystemforSecond-handRealEstateinShenzhen”.Thecontracting

3、partiescan,aftermutualagreement,makemodificationorsupplementationtoitemsspecifiedintheContract,butsuchmodificationandsupplementationmustbeinconformitywiththerelevantprovisionsstipulatedinlawsandrules.Priortoenteringthiscontract,theBuyerandtheSellermayrequesttheotherpartytoshowhisorherrelevantcertifi

4、cates,suchasIDcard,BusinessLicenseofEnterpriseLegalPerson,HouseOwnershipCertificate,etc.Theyshallcarefullyreadthroughthecontentsofthiscontractandthenmakeconfirmationsabouttheitemsselected,supplemented,ormodified.Ifyouhaveanyquestions,pleaseaskforprofessionaladvicefrompeoplefamiliarwithlawsandlegisla

5、tions.TheBuyershall,priortoenteringintothiscontract,makeacompleteandfullsitesurveyoverthehousepropertyinrespectoftheenvironment,transportation,adjacentschools,opportunitytoattendschools,andhouseholdconditions.TheSellerisobligatedtoprovidetrueinformationaboutthehousepropertysownership,leasecondition,

6、household,etc.Forthepurposeofassuringthesafetyofthecapital,itisrecommendedthattheBuyerandtheSellershallhaveathirdpartysupervisethefundsbyconcludingaspecialagreementtoclearlyspecifythecapitalsupervisionaccountandtheothermattersaboutpaymentoffunds.Afterthiscontractcomesintoeffect,theunmodifiedandprint

7、edwordsaswellasthevalidwritingsandmarksfilledoutintheblanksshallbedeemedascontentsagreedbybothparties.Inaddition,theattachmentsandthesupplementaryagreementsofthiscontract,oncesignedbybothparties,shallhavethesamelegalforceasthetextofthiscontract.WheretheBuyerneedstoborrowamortgageloantopaythepriceoft

8、hehouseproperty,heorsheshallfirstofallgettoknowexactlyabouttherequirementsformortgageloanaswellasthedocumentstobeprovided.Thetransferofownershipisnotmarkedbytheconclusionofthiscontract,butbytheregistrationofownershiptransferbyhousepropertyrightregistrationorgan.Asittakestimetotransfertheownershipaft

11、neonTransactionofRealProperty,andrelevantlawsandregulations,theSellerandtheBuyerherebyenterintothiscontractonthetransferofahousepropertyafteramicablenegotiationontheprinciplesofequality,fairnessandvoluntaryparticipation.SubjectofTransactionThehousepropertysoldbytheSeller(hereinafterreferredtothehous

12、eproperty)islocatedatXXXHongliRoad,FutianDistrict,ShenzhenCity.ThehouseownershipcertificateNo.isXXX;thehousepropertyisusedforthepurposeofResidence.Theregisteredconstructionareais:84.12squaremeters;theroombuildingareais-squaremeters.ThelanduserightrelatingtothehousepropertyfeaturesatermfromOctober17,

13、1984toOctober16.2054.ThehousepropertyiscompletedinJulv1984.Currentlythehousepropertymanagementcompanyis;thepropertymanagementfeeisRMB-/squaremeter.CurrentStatusofHousePropertyThehousepropertyisneithermortgagednorsealedup;theSellerenjoysfullrighttodisposethehouseproperty.LeaseConditionofHouseProperty

14、Theleaseconditionofthehousepropertyisasthefollowing1condition:Thehousepropertyisnotleasedtoanybody.Thehousepropertyisleasedtosomeone;pleaserefertotheattachmentsfortheleasecontract(No.).ThemonthlyrentalisRMB-/month;theleasetermis=yearsfrom-to二.TheSellershall,beforesigningonthiscontract,obtainthelesse

15、eswrittenacknowledgementofgivinguptheprioritytobuythehouseproperty;otherwiseitshallbedeemedasviolationofthecontract.Afterconsultation,theSellerandtheBuyerdecidetodealwiththeleasecontractinthefollowing-ways:Afterthehousepropertyistransferred,theoriginalleasecontractisstillvalidfortheBuyerbeforetheexp

16、irydate.TheSellershallhelpthebuyertoconcludeanewleasecontractwiththelesseebeforeandinthemeantimegivetheleasedepositandadvancerentalpaidbythelesseetotheBuyerforkeeping.TheBuyershallenjoytheoriginalrightsofSellerundertheleasecontractafterTheSellershallrescindtheoriginalleasecontractbeforedeliveringthe

17、housepropertytotheBuyer;Buyerisnotliableforanydisputesarisingfromtheoriginalleasecontract.HouseholdAffiliatedtoHousePropertyTheSellerhaspromisedtotransferoutthehouseholdaffiliatedtothehousepropertywithin_30daysafterreceivingthetotalpaymentforthehouseproperty.Iftheyfailtodosowithinthetimelimit,theysh

18、allpaytheBuyerliquidateddamagesat0.03%ofthetotalhousetransferpriceonadailybasis.TransferPriceofHousePropertyThetransferpriceofthehousepropertyisRMBThirty-sixThousand,FiveHundredandFortv-fiveYuanonly(innumber:36545);itdoesnotincludethetaxes.EarnestMoneyTheearnestmoneyforthetransactionofthepropertyisR

19、MBFiveThousandYuanonly(innumber:RMB5000).TheSelleragreesthatitshallbepaidinthefollowingways:Uponconclusionofthiscontract,theBuyershallpaytheSellertheearnestmoneyofRMBFiveThousandYuanonlv(RMB5.000).ItisrecommendedthattheBuyershallfirstgivetheearnestmoneytoamutuallyspecifiedthirdpartyforsupervision.Th

20、eBuyerspayingtheearnestmoneytothethirdpartyforsupervisionshallbedeemedastheSellersreceivingofthedeposit.TheearnestmoneywillbelatterlypaidtoSelleraspartofthetransferpriceofthehousepropertywhentheformalitiesfortransferofownershiparecompleted.DepositforDeliveryofHousePropertyInordertopreventrisksinthet

21、ransactionandmeanwhileurgetheSellertodeliverthehouseandsettlerelevantexpensesasscheduled,theBuyerandtheSellerbothagreethatRMBofthetransferpriceshallbefirstlyretainedasadepositfordeliveryofthehouse(notexceeding2%ofthetotalprice.ThedepositshallbepaidtotheSelleraftertherealestateisactuallydeliveredandt

22、heownershipistransferred.Thedepositshallbekeptasfollowingfirstitem:1.keptbytheintermediaryparty2.others:PaymentMethodUnlessotherwisespecificallyagreed,alltheBuyerspayments(includingdepositandpaymentforpriceofhouse)arerecommendedtobekeptbythebankasathirdpartyforsupervisionofcapital.TheBuyershallpayth

23、ehousepriceotherthantheearnestmoneyandthedepositforthedeliveryofhouseinthefollowingfirstways,thatis:RMBThirtyoneThousand,FiveHundredandFortyFiveYuanOnly(RMB31545)totheSeller.One-offpaymentTheBuyershallpaytheabovehousepricetothebankaccountmutuallyspecifiedbybothpartiesforsupervisionbeforeXXX.Paymentw

24、ithmortgageloanfrombankTheBuyershall,before,paythefirstinstallmentofpayment,RMB-otherthantheearnestmoneyandthedepositfordeliveryofhousetothebankaccountmutuallyspecifiedbybothpartiesheretoforsupervisionbythebankasathirdparty.TheBuyershallsubmitthedocumentsrelatingtotheapplicationformortgageloantotheB

25、ankandthencooperatewiththebanktohandletheloanexaminationandapprovalformalities.Theamountofthemortgageloanissubjecttothebanksletterofcommitment.Wheretheloanissuedbythebankisinsufficienttopaytherestpriceofthehouseproperty,partiesheretoagreetohandlethecaseinthefollowing-ways.TheBuyershallsupplementthei

26、nsufficientamountwithin3daysafterthebankissuestheletterofcommitment.ThecontractshallberescindedandtheSellershallrefundthecapitalpaidbytheBuyerwithin3days.OtherpaymentmethodBuyersLiabilityforBreachofContractduetoLatePaymentWheretheBuyerfailstomakethepaymentintime,theSellershallhavetherighttoasktheBuy

27、ertoundertaketheliabilityforbreachofcontractinthefollowing1way.AskingtheBuyertopayaliquidateddamageat0.04%oftheunpaidamountonadailybasisandthecontractshallremainvalid.RequiringtheterminationofthiscontractandaskingtheBuyertopayaliquidateddamageat-%ofthetotalprice.UndertakingofTaxesandfeesAccordingtot

28、herelevantregulations,theSellershallundertakethefollowingtaxesandfees:a.businesstax;b.urbanconstructionandmaintenancetax;cationsurcharge;d.stamptax;e.individualincometax;e;landVAT;f.realpropertytransactionservicecharge;g;landuserightfee;h.deedtax;erestforadvancerepaymentofshort-termloan;j.

29、penaltyforadvancerepayment.TheBuyershallundertakethefollowingtaxesandfees:k.stamptax;l.deedtax;m.housepropertyrightregistrationfee;n.housepropertytransactioncharge;o.stamponhouseownershipcertificate;p.mortgageregistrationfee;q.borrowingcontractnotarizationfee;r.entrustmentnotarizationfee.Otherexpens

30、es:s.ownershipinvestigationfee;t.realpropertytransactioncontractfee;u.appraisalfee;v.lawyersfee;w.insurancefee;x.others(subjecttotheactualoccurrence)Afteramicablenegotiation,thepartiesheretoagreethatallaboveitemaitemxshallbeundertakenbytheBuyer.Newtaxesandfeesoccurringduetothelaws,regulationsandpoli

31、ciesshallbedisposedwiththefollowingIstmethod:payablebypartiesasrequiredbythelaws,regulationsandpoliciespayablebypartyOthers:-%payablebyBuyer;-%payablebySeller.WithregardtoaforementionedtaxesandfeespayablebytheBuyerand(or)theSeller,ifthepartiesheretochangetheactualpaymentmethod,thelegalresponsibiliti

32、eswillnotbetransferredwiththealterationoftaxpayment.Wherethetransactioncannotbecontinuedduetoapartysfailureinpayingthetaxesandfees,thecontract-breachingpartyshallpaytheotherpartyaliquidateddamageat1%ofthetotaltransferpriceoftheproperty.DeliveryofRealPropertyTheSellershalldeliverthehousepropertytothe

33、Buyerwithin7daysafterreceivingtheentiretransferpriceofthehouseproperty(exceptforthedepositforthedelivery),andmeanwhileperformthefollowingduties:TheBuyerandtheSellershallcheckthehousepropertyanditsaffiliatedequipment,decoration,furnitureandetc.togetherandrecordthereadingsofthewater,electricityandgasm

34、eters;Tohandoverthekeytothehouseproperty.LiabilityforBreachofContractDuetoLateDeliveryUnlessotherwiseagreedbythiscontract,iftheSellerfailstodeliverthehousepropertytotheBuyer,heorsheshallpaytheBuyeraliquidateddamageat0.04%ofthetotaltransferpriceofthehousepropertyonadailybasisfortheperiodfromtheduedat

35、eofdeliverytothedateofactualdelivery,andthenthecontractshallremainvalid.DisposalofAccompanyingDebtsUpondeliveryofthehouseproperty,theSellershallalsosettlealltheexpensesrelatingtothehouseproperty,suchaswaterfee,electricityfee,gasfee,telephonefee,cableTVfee,propertymanagementfee,garbagedisposalfee,etc

36、.andthengivetherelevantslipstotheBuyerforconfirmation.Otherwise,theBuyershallhavetherighttodeductsuchamountsfromthedepositfordeliveryofhouseproperty.HousePropertyRightTransferRegistrationTheBuyerandtheSellershall,within30daysafterconcludingthiscontract,applyforthetransferofthehousepropertysownership

37、withthepropertyrightregistrationauthority.Thenwithin_3_daysafterthereplydateindicatedbythedocumentreceiptexpires,theSellerandtheBuyershallpaytherelevanttaxesandfeesaccordingly.TheBuyershallobtainthehouseownershipcertificate.WheretheBuyerisobligatedwithmortgage,heorsheshallderegisterthemortgagewithin

38、_0_workdaysafterobtainingthenewhouseownershipcertificate.OtherLiabilitiesforBreachofContractWherethepurposeofthiscontractcannotberealizedduetoapartysfailureinperformingtheobligations,thecontractobservingpartymayeitherdisposethecasefollowingtheregulationsabouttheearnestmoneyorasktheotherpartytopayali

39、quidateddamageat3%ofthetotalhouseprice.ForceMajeureWherethiscontractcannotbeperformedduetoforcemajeure,thepartiesmaybefullyorpartiallyexemptfromtheliabilitiesaccordingtotheeffectoftheforcemajeureunlessotherwisespecifiedbythelaws.Thepartythatcannotperformthiscontractduetotheforcemajeureshallnotifytheotherpartyintimeandinthemean
