15、erformanceoftheContact,itshallbeundertakenbythetwopartiesinaccordancewiththefollowingstipulations:Confirmedbybothparties,thetechnicalriskstipulatedintheContactshallbeassessedinthemannerof.Themaincontentofthetechnicalriskassessmentshallincludeitsexistence,scope,degree,lossandsoon.Thetechnicalriskasse

16、ssmentshouldhavethefollowingbasicconditions:1. TheprojectmentionedintheContractisdifficultenoughforthepresenttechnologiclevel;2. PartyBsubjectivelycommitsnofaultandthefailureofresearchanddevelopmentisconsideredbyexpertsasreasonable.Onceonepartydiscoversthatthesituationislikelytocauseafailureorpartia

17、lfailureinresearchanddevelopment,theDiscoverershallinformtheotherpartyofthesituationwithindaysandtakeappropriatemeasurestoreducelosses.Ifonepartyfailstoinformtheotherpartyinduetimeandtakeappropriatemeasuresandasaresultthelossesareaggravated,theresponsiblePartyshallbeartheliabilityfortheaggravatedpar

18、tofthelosses.Article10IntheperformanceoftheContract,thetechnologywhichistheobjectofaresearchanddevelopmenthasbeenmadepublicbyothers(includingtheformofpatent).OnepartyshallnotifytheotherpartytorescindtheContractwithindays.Ifonepartyfailstoinformtheotherpartyinduetimeandasaresulttheotherparty'slos

32、ofsubstantialorcreativetechnologyprogressanditsrightadscriptionshallbesharedby(PartyA,PartyB,thetwoParties).Thedetailedallocationoftherelatedbenefitsshallbeasfollows:AftertheaccomplishmentoftheR&DworksstipulatedintheContract,PartyBhastherighttotakeuseoftheresearchanddevelopmentachievementstomake

33、follow-upimprovement.Therebythenewtechnologicachievementswiththefeatureofsubstantialorcreativetechnologyprogressshallbeownedby(PartyA,PartyB,thetwoParties).Thedetailedallocationoftherelatedbenefitsshallbeasfollows:Article 22 WiththeconfirmationofthetwoParties,withinthevalidityoftheContract,PartyAsha

34、lldesignateasPartyAsprojectcontactperson.PartyBshallappointasPartyBsprojectcontactperson.Thecontactpersonshallundertakethefollowingresponsibilities:1.2.Ifanychangesofthecontactpersonoccur,onepartyshallinformtheotherpartybasedonwrittenmaterialsinduetime.Ifonepartyfailstopromptlyinformtheotherparty,it
