9、on thedate of sig ning of this agreeme nt, Allow partial shipme nt. The in itial order is 300MT.4. 货运交付(DELIVERY AND SHIPMENT)4.1 CIF SHANGHAI 港，按照2000年国际贸易术语解释通则解释。CIF SHANGHAI port, as per INCO terms 20004.2包装：大约50公斤一袋，集装箱运输。Packing: in big bags for about 50 kg, Shipment in 20' FCL.4.3起运港：马达加斯

27、1如果买方在到货日后15天内不提供到货港的 CCIC检验单证，则按照装货港检验单支付30%余款。If the buyer candvide)the certificate of CCIC at the uni oadi ng port in 15 days,the bank will pay the money accordingto the 30% balaneeaccordingto theanalysis report at the loading port.10 .不可抗力(FORCE MAJEURE )由于人力不可抗拒原因，使卖方不能在合同规定期限内交货或者不能交货，卖方不用负责任。

28、 但卖方在不可抗拒原因发生的14天内应以传真通知买方，并以挂号函向买方提交有关政府机关或者商会所出具的不可抗拒原因证明。The Seller shall not be held responsible for the delay in shipment, short delivery or non-delivery of the goods due to uni versally ack no wledged force majeure, which might occur dur ing the process of manu facturi ng or in the course of l

29、oadi ng or tran sit.The Seller shall advice the Buyer immediately of the occurre nee men ti oned above and within fourteen (14)days thereafter, The Seller shall send by Express mail to the Buyer a certificate of the accide nt issued by the compete nt gover nment authorities or chamber of commerce wh

30、ere the accide nt occurs as evide nee thereof. However,The Seller is still un der the obligati onto take all n ecessary measures to haste n thedelivery of the goods, not withsta nding un der such circumsta nee.11. 仲裁(ARBITRATION)凡因本合同引起的或与本合同有关的任何争议应协商解决。若协商不成，应提交中国国际经济 贸易仲裁委员会华南分会，按照申请仲裁时该会现行有效的仲裁规

31、则进行仲裁。仲裁裁决是终 局的，对双方均有约束力。Any dispute aris ing from or in connection with the Con tract shall be settled through friendly negotiation. In case no settlement is reached, the dispute shall be submitted to Chi na Intern ati onal Econo mic and Trade Arbitrati on Commissio n (CIETAC), South China Sub-Comm

32、ission for arbitration in accordance with its rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.12. 装船通知(SHIPPING ADVISE)一经装载完毕，卖方应在 72小时内以邮件或传真方式通知买方合同编号、品名、已发运数量、 发票金额、毛重、船名及启程日期等。The Seller shall, immediately upon the completion of
