独家代理协议

1、供货公司（厂）：光电有限公司 （以下称甲方）Party A Supplier (Factory) :  Optoelectronic Co.,Ltd 代理公司（厂）： （以下称乙方）Party B Agent (Company) : 一、委任Appointment甲方指定乙方为其独家代理，为第二条所列商品和第三条所列区域的顾客中招揽订单，乙方接受上述委任。Party A hereby appoints Party B as its Exclusive Agent to solicit orders for the commodity stipulate

2、in Article 2 from customers in the territory stipulated in Article 3, and Party B accepts and assumes such appointment. 二、代理商品Commodity1、独家代理权Exclusive Right2、乙方同意，在本协议有效期内从上述代理区域内的顾客处招揽的上述商品的订单价值不低于     。Party B shall undertake to solicit orders for the above commodity

4、ly or indirectly, sell or export the sell, distribute or promote the sales of any products competitive with or similar to the above commodity. 4、违反此项规定，甲方有权追究乙方经济责任，最低以实际供货的结算价值作为罚金，并有权追究乙方责任，包括但不限于追偿因此导致的任何经济损失If Party B violates this regulation Article 2 , Party A has right to pursue economic

5、 responsibility, upon the lowest final settlement value of actual supply products as a penalty , and keeps the right to persue the responsibility of Party B, including but not limited to any economic losses caused by recovery. 四、商情报告Market Report为使甲方充分了解现行市场情况，乙方承担至少每季度一次或在必要时随时向甲方提供市场报告，内容包括与本

6、协议代理商品的进口与销售有关的地方规章的变动、当地市场发展趋势以及买方对甲方按协议供应的货物的品质、包装、价格等方面的意见。乙方还承担向甲方提供其他供应商类似商品的报价和广告资料。In order to keep Party A fully understand the prevailing market conditions, Party B should undertake to supply Party A, at least once a quarter or at any time when necessary, with market reports concerning chan

7、ges of the local regulations, local market tendency and the buyer's comments on quality, packing, price, etc in connection with the import and sales of the commodity covered by this agreement, Party B shall also supply party A with quotations and advertising materials on similar products of othe

8、r suppliers. 五、广告及费用Advertising and Expenses乙方负担本协议有效期内向甲方提交所用于广告的声像资料，供甲方事先核准。Party B shall during the validity of this agreement submit to Party A all audio and video materials intended for advertising for prior approval . 六、 代理期限和保证金Validity of Agreement and margins collateral1、本协议经有关双方

11、sfer, Party A has the right to do unilateral termination of the contract . 七、货物供应、运输与货款支付Product supply, shipping, payment1、乙方应提前15天提交书面订货计划（传真或电子邮件），以便甲方有足够时间备货。Party B should put in the order plan ( by Fax or email ) 15 days in advance , so that Party A has enough time to prepare the products

12、. 2、乙方提交订货计划后15天内，甲方得到确认后，乙方须在10个工作日内将货款汇致甲方所指定的帐户里，如在10个工作日内未收到货款，甲方有权把此订单视为无效。Party B submits the order within 15 days , Party B confirms the order . Party B need to transfer the payment of products to the Bank Account the Party A appoints within 10 days . After 10 days , the payments hasnt b

13、een transferred , Party A has the right to regard the order as invalid one . 3、甲方应在收到货款后在双方协商后的7 15工作日提供产品。After receive the payment , Party A should delivery the products within 7 15 workdays under the consultation of both parties. 4、甲方负责将货物运达乙方指定地点，运输工具由双方协定后再做决定，不得善自决定。Party A

14、 takes charge of shipping the products to the appointed place by Party B , the means of transport is considered under the mutual agreement , can not do it without authorization . 八、品质保证 Guarantee for Products Quality货物验收以双方确认的样品为准，如对质量有异议，买方应自产品收到之日起三日内书面告知卖方并保持货物完好，对产品安装使用后出现的质量问题，在产品质量保证期内，卖方

15、只负责维修或更换所供应产品外，不承担任何其他责任。That the check and accept the delivered goods is the basis of the confirmed samples by both parties . If there is objection of quality , the Buyer should inform the Seller in written form and keep intact the products within 3 days after the Buyer receive the products . About

16、 the quality-problem after installation , within quality guarantee period of products , the Seller is only responsible to maintain or change the supplier products , not bear others . 九、 违约及合同解除Breach and termination of the contract1、双方应严格按照合同执行，遇到有分歧的情况，应友好协商，达成新的一致意见，并形成补充合同，与本合同具有同等效力。Both Pa

17、rties should be strict accordance with the agreement and carry out . If there is a disagreement , both Parties should consult friendly and reach a new agreement , furthermore form supplementary agreement with the same efficacy as this Agreement . 2、在合同有效期内，双方中任何一方，由于以下原因造成违约时，另一方可以解除合同。During t

18、he term of this agreement , any Party who breaches the contract caused by following reasons , the other Party can terminate the contract . （1）如乙方对代理区域内的客户疏于管理或其它原因导致给甲方造成物质损失或使甲方的企业形象受到影响时；When the Party B treats the customers in Territory region with lack of management or other reasons which m

19、akes the Party A bears the material damage or makes the corporate image of Party A with any bad effect , the Party A can terminate the contract . （2）符合本合同第三条第2项情形时；If the condition meets with the Condition 2 , the Third Article of the agreement （3）乙方违反甲方的规定价格政策，造成销售市场混乱时；The Party B violat

20、es prescriptive Price Policy by Party A , cause the sales market confusion .  （4）乙方未按实际情况向甲方通报市场情况，或所通报的内容不实，给甲方的业务造成严重影响时。The Party B wont inform the actual state of market to Party A , or the notification is not truth , which causes the serious effect on the business of Party A . 十、

21、 合同解除后的处理 Treatment upon termination1、合同解除后，双方清算完毕后，如无其它异议时，甲方应于方交纳的保证金。After terminate the constract and both Parties have settled accounts , if there is not any objection , Party A need to return the security deposit back to Party B within 7 workdays according to this agreement. 2、合同解除后一年之内，乙

22、方或乙方的工作人员不得利用在代理甲方产品期间获得来自甲方的经营信息进行同类业务的拓展；Upon termination of the contract, Party B or any staff of Party B cant use the business operation information from Party A during Party B as an agent of Party Bs products to proceed the expansion of the Similar business within one year . 十一、 不可抗力Force

23、Majeure由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议，该方不负责任。但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的证明寄交对方。Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, drought, war or any

24、other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party , who is affected by the event of Force Majeure , shall inform the other party its occurrence as soon as possible and thereafter send a certificate of the event issued by the relevant

25、 authorities to the other party within 15 days after its occurrence. 十二、仲裁Arbitration因履行本协议所发生的一切争议应通过友好协商解决。如协商不能解决争议，则应将争议提交中国国际经济贸易仲裁委员会（北京），依据其仲裁规则进行仲裁。仲裁裁决是终局的，对双方都有约束力。All disputes arising from the performance of this agreement shall be settled through friendly negotiation. If the negotia

26、tion fails, the case shall then be submitted for arbitration to the China International Economic and Trade Arbitration Commission (Beijing) , be arbitrated by the rules of this Commission . The award of the arbitration shall be final and binding upon both parties. 十三、 其它事项1、本合同中未尽事宜，双方协商解决，并可签订
