27、OVERDUEINTERESTSANDMISUSINGINTERESTS1. IftheBorrowerfailstorepaytheloanandcannotreachaagreementwiththeLenderregardingtheextension,theLendershallcollectanoverduepenaltyfor*oftheoverdueamountperday.2. IftheBorrowerfailstousestheloaninaccordancewiththeprovisionssetforthinthiscontract,theLendershallhave

TheBorrowershallrepaytheloaninaccordancewiththestatusofitscash.TheBorrowershallinformtheLenderthepaymentamountanddate*priortomakethepayment.TheBorrowershallbeobligedtorepaytheprincipalandrelatedinterestsonduedatewithoutanycondition.2. 37、lawofthePeoplesRepublicofChinaandhasthepowerandauthoritytoownitspropertytoconsummatethetransactionscontemplatedinthiscontractandjointhelitigation.TheBorrowerhasthepowertohandleitassetsusedinoperation.2. TheBorrowerisatitsoptiontosignandperformthisistheBorrowerstruemeaningandhasthepowertosignthiscont

38、ractanditisnotbreachitarticleofassociationorregulationsorcontracts.Theprocedureforsignatureandperformanceofthiscontracthasbeengonethroughandfullyeffectiveness.3. Thealldocuments,materials,reportsandcertificatesprovidedtotheLenderbytheborrowerforconsummationofthiscontractistrue,real,competeandeffecti

TheBorrowershallnotconcealthefollowingeventswhichisbeinghappenedorhavebeenhappenedwhichwillcausetheLenderrefusetoextendtheloan:（ 1） TheBorrowerortheprincipalexecutivesoftheBorrowerinvolveinmaterialeventswhichbreachregulations,lawsorcompensationtoothers;（ 2） Pendingactionsandarbitration;（ 3） The

40、Borrowersdebtsorproposeddebtsorliensandotherencumbrances;（ 4） Theothermatterswillimpactthefinancialstatusorabilitiesofrepaymentforthedebts;（ 5） TheBorrowerbreachedcontractwhichisbetweentheBorrowerandothercreditors.II.TheBorrowerherebywarrantsasfollows:1. Usingthecapitaloftheloanasusagesetforthinthis

41、contract,theBorrowerwillnotusetheloanasEquityinvestment;TheBorrowerwillnotusethecapitaloftheloaninvestinsecurity,future,realestateetc.TheBorrowerwillnotlendtotheothersprivatelyorinvolvingothermaterswhichisprohibitedbythecountry.TheBorrowerwillnotmisusingorappropriationoftheloan.2.
