1、;.1 目的Objective 准确理解顾客要求,确保合同、订单规定的要求能够实现。The objective is to correctly understand the customers requirements and to ensure the fulfillment of the contractual requirements and orders.2 适用范围Applicable Scope 适用于公司销售合同的评审。 This is applicable to the review of AICQ sales contract.3 职责Responsibility3.1 市场
2、销售部负责组织合同评审。The Marketing Department is responsible for organizing contract review. 3.2 质量部、技术工程部、制造部、采购物流部、财务部等参与特殊和重要合同评审,并对涉及本部门的评审内容发表意见,给出评价。The Quality Department, Engineering Department, Manufacturing Department, Purchase & Logistics Department, Equipment Department and Financial Departme
3、nt are required to participate in the review of special and important contracts, and make suggestions and assessment in respect to the review of the parts related to its department.3.3 总经理或其授权代理人参加合同评审,并对最终结果进行批准。The general manager or their authorized representative shall participate in the contrac
4、t review, and approve the final results.4 工作程序Work Procedures4.1 合同的接收Receipt of Contract市场销售部是公司的合同接受归口部门,接收到顾客的合同、订单或标书后,应填写合同登记表。口头方式接到订单后,应进行整理分类,做好记录,填写好口头、电话订单记录。At receipt of the customers contract, order or bidding documents, the Marketing Department shall fill in “Contract Registration Shee
5、t”. At receipt of verbal orders, the Marketing Department shall sort them out and fill in “Verbal & Telephone Order Records”.4.2 合同分类Contract Classification合同分为一般合同、特殊合同、重要合同三类。The contract is classified into three types, i.e. general contract, special contract and important contract. a. 一般合同Gen
6、eral Contract:² 指已签订了开口合同的每月订单、临时订单(含口头订单),It refers to the monthly and temporary orders (including verbal orders) as already signed in an open contract.² 公司已具有批量生产能力、规定价格,可连续供货的散户合同(订单)。The casual contract (order) for supply of goods that AICQ is capable to produce in batch quantity and s
7、upply continuously at a specified price. b. 特殊合同Special Contract: 指产品结构、性能指标基本不变,安装尺寸及外部附件有变更,顾客要求提供特别服务的产品合同。It refers to the product contract for providing special services, in which the customer requires not to change the basic product structure and performance parameters but to change the instal
8、lation dimensions and external accessories. c. 重要合同Important Contract: 指开口合同、现有产品须作重大改进,产品结构及性能指标有变更、现有生产条件须作重大变更或新开发产品的标书及合同。 It refers to an open contract, in which it requires a significant innovation of the present product, or requires to change the product structure and performance parameters,
9、or requires to change the present production conditions significantly, or requires to supply new products.4.3 合同评审的内容Contents of Contract Review 4.3.1 顾客的各项要求是否明确、合理,是否形成文件。Check if the customers requirements are clear, reasonable and documented.4.3.2 各项规定是否有不清楚之处:有关的特殊内容在合同中是否得到说明。Check if various
10、terms are clear and if relevant special conditions are stated in the contract.4.3.3 与投标不一致的要求是否已得到解决或与最初报价之间是否有差距。Check if the nonconformance to the tender has been solved or if there is any difference from the initial quotation.4.3.4 本公司是否具有履行合同各项要求的能力:Check if AICQ has the capability to fulfill th
11、e contractual requirements.a. 工艺技术、生产能力能否适应顾客需要;If the tooling, technology and production capability can meet the customers demands;b. 物资供应能否及时到位;If the materials can be supplied and delivered on time;c. 检测手段、设备能否达到精度,质量保证能力是否满足要求;If the inspection methods and equipment are precise enough, and if th
12、e quality assurance capability can meet requirements;d. 数量规格要求是否有能力达到,交货期能否保证;If AICQ has the ability to ensure the delivery of required quantity and specifications within specified time limit.e. 其它条件(如安全保证)是否能满足要求。If AICQ can meet the requirements of other conditions, e.g. safety assurance.4.3.5 合同
13、是否符合中华人民共和国经济合同法。Check if the contract conforms to the Economic Contract Laws of the Peoples Republic of China.4.3.6 顾客的特殊要求是否能满足。Check if AICQ can meet the customers special requirements.4.4 合同评审的实施Implementation of Contract Review 4.4.1 评审时间Time of Review 在合同接受、合同变更和投标之前对合同或标书的所有要求进行评审。The contrac
14、t or bidding documents shall be reviewed prior to acceptance or amendment, or tendering.4.4.2 一般合同General Contract 一般合同由销售人员直接在合同上进行评审,应审查的项目有: General contract can be reviewed directly by the sales representative. The following items shall be reviewed:a. 产品号(零件号)、产品名称(零件名称)及订单号;Product No. (Part No
15、.), Product Name (Part Name), and Order No.b. 送货地点;Delivery Destinationc. 当月订购总数量及具体的分批交货时间和数量;Total quantity in this month, and the time & quantity of progress delivery;d. 其它要求。Other requirements.4.4.3 特殊合同评审Review of Special Contract 采用会签评审形式,由销售人员将合同评审表及其附件分发给参加评审的部门,由市场销售部组织有关部门按照评审内容进行评审会签,
16、报总经理或其指定代理人批准。Adopt countersign to review the special contract. The sales representative shall send “Contract Review Sheet” and its appendix to the departments involved. The Marketing Department shall organize relevant departments to make review and countersign in accordance with the review contents
17、, and submit the results to the General Manager or its authorized representative for approval.4.4.4 重要合同评审Review of Important Contract² 采用会议评审形式,由销售人员预先将有关评审资料,分发给参加评审的部门,各部门进行初步审核后,由市场销售部组织有关部门召开评审会议,各部门按照合同评审表内容进行评审会签,报总经理或其指定代理人批准。Hold meeting to review the important contract. The sales repr
18、esentative shall send audit documents to relevant departments in advance. After preliminary audit, the Marketing Department shall organize relevant departments to call a review meeting, where relevant departments are required to make review and countersign in accordance with the contents as listed i
19、n Contract review Sheet. The results shall be submitted to the General Manager or its authorized representative for approval.² 对于开口合同,每年年底顾客签定合同之前应组织一次复评。The open contract shall be reevaluated at the end of each year.4.5 合同的签订Signing Contract经合同评审后,市场销售部方可与顾客签订正式合同。合同一经签订即具有法律效力。The Marketing D
20、epartment is only allowed to sign official contract with the customers after the contract is reviewed. The contract enters into effect as long as it is signed.4.6 合同的修订及传送Amendment and Transmission of Contract4.6.1 市场销售部应主动掌握合同的履行情况,若发生实际与约定不一致的情况时,及时与顾客联系协商解决,保证顾客规定要求能得到满足。The Marketing Department
21、shall actively follow up the fulfillment of contract. If it is found of any nonconformance to the agreements, the Marketing Department shall duly contact the customer for a solution, ensuring the fulfillment of customers requirements4.6.2 合同的修订应遵循以下程序:The contract might be amended in accordance with
22、 the following procedures:a. 合同修订前,市场销售部应与顾客充分洽谈(必要时,可组织相关部门参与),对修订内容达成共识后,补签修正合同。修正合同应反映修正内容,是原合同组成部分,与原合同具有同等效力;Before amending the contract, the Marketing Department shall keep a sufficient negotiation with the customers (if necessary, inviting relevant departments), and sign the amended contract
23、 only after the amended parts are agreed upon. The amended contract is an integral part of the original contract, and they have the same legal effect.b. 如修订内容属本程序4.4.2的情况,修正合同不再评审,销售人员可直接评审后签约;如修订内容有较大变化,应根据变化的具体情况,按本程序的要求评审确认,再正式签订合同;If the amendment falls within the case as described in 4.4.2 of t
24、his procedure, the amended contract need not be reviewed and can be directly signed by the sales representative. If there are significant changes in the amendment, in reference to the actual changes, it is required to review the amendments and sign official contract in accordance with the requiremen
25、ts in this procedure.c. 销售人员应将合同的修订内容及时填写合同修改通知单以书面形式通知有关部门重新组织评审,并提交顾客可能提供的有关合同修改的资料。The sales representative shall fill the amended parts in the “Contract Amendment Notice” and send written notification to relevant departments for another audit. Meanwhile, it is required to submit necessary amendm
26、ent information possibly provided by the customers.4.6.3 经修订后的合同信息由市场销售部负责及时传递到相关部门和顾客。The Marketing Department shall duly transmit the amended contract to relevant departments and customers.4.7 市场销售部应对以上所有合同形成合同执行月报表,跟踪合同完成情况。The Marketing Department shall formulate “Contract Implementation Monthly
27、 Report” for all the contracts, and follow up their accomplishment.4.8 市场销售部负责合同及合同评审记录的保管,合同履行后及时存档。The Marketing Department is responsible for retaining the contract and contract review records. After fulfillment, the contract shall be filed duly on time.4.9 答复招标、标书流程见附页For response to bidding inv
