2、Email:地址/Address:根据泰国有关法律、法规和有关规定，甲乙双方在平等、自愿的基础上，经友好协商一致，就商场货架租赁的相关事宜达成协议如下：In accordance with Thailand relevant laws, decrees, pertinent rules and regulations, Party A andParty B have reached an agreement through friendly consultation to conclude the following contract.1.租赁内容/Leased Contenta)甲方将位于商

3、场的货架以及其配套租赁给乙方。Party A will lease to Party B the goods shelve and attached facilities herewith in the market which islocated at owned by Party A,.b）甲方租赁给乙方的货架规格为长宽 高 （米）The registered size of the goods shelve is length width and height .(meter)c)甲方为乙方提供的货架配套设施内有：货架、仓库、销售人员及供配电等设备。Party A will offer

8、es and Party B clears the premises and has paid all duerental and other expenses.c)因乙方违反本合同的规定而产生的违约金、损坏赔偿金和其它相关费用，甲方可 在保证金中抵扣，保证金不足部分乙方必须在接到甲方付款通知后十日内补足。In case Party B breaches this contract, Party A has right to deduct the default fine, compensation fordamage or any other expenses from the deposi

In case the deposit is not sufficient to cover suchitems, Party B should pay the insufficiency within ten days after receiving the notice of payment fromParty A.附注Note:a)乙方商品出现质量问题时，甲方会视情况解决，协商调换商品或以乙方的保证金 先行赔付。When the products of Party B have quality problems, Party A will solve the problems by

10、 himself first inthe way such as exchange the products or compensate by using the deposit of Party B.b)如乙方未租满本合同规定租赁时间，则保证金不予退还。If Party B doesnt rent the goods shelves as long as the contract required, then PartyA will not pay back the deposit.5.甲方的权利与义务Rights and Obligations of Party Aa)甲方应保证乙方所售物

11、品完好，如因为甲方的工作失误导致乙方商品丢失或损坏,甲方应按其成本价格赔偿乙方。Party A should guarantee Party Bs products intact. If, because of Party A leading to Party Bsproducts is damageodsto, rthl en Party A should compensateParty B according to the cost of damaged or lost products.b)甲方对乙方所租赁的货架装饰或改造时的方案进行监督和审查并及时提出意见。Party A has ri

12、ght to examine and suggest the decoration of the goods shelves PartyB rent.c)如果乙方违反泰国法律、法规、政策，甲方有权停止其销售。Party A has right to stop selling in case Party Bs products are contraband.d)甲方应于每月5日将乙方上月营业额扣除5%后交付乙方。Party A should pay to Party B the sales of last month and take off 5% as the royalty rewards

13、for thesalesmen.e)在合同期满后，甲乙双方续租时，甲方可以根据市场实际情况增加租金。After the expiry of the contract, Party A has right to increase the rental of next contract period accordingto the marketing.f)在合同期间，乙方商品视为甲方所有，甲方对其有经营权。During the contract period, the goods of Party B will be deemed to belong to Party A and Party A

14、hasthe managing right of it.6.乙方的权利与义务Rights and Obligations of Party Ba)乙方应按合同的规定按时支付定金、租金及保证金。Party B will pay the rental, the deposit and other expenses on time according to the contract.b)乙方应在泰国法律、法规、政策允许的范围内寄卖物品s faiParty B should ensure its products are not contraband according to the laws of

15、Thailand.c)在合同期内，乙方对所租赁的货架有合法使用权。During the contract period, Party B has legal right to use the goods shelves it rent.d)在合同期内，甲方再次引进同类商户进入商场，乙方有权要求双方协商解决。During the contract period, Party B has right to require resolutions under the peaceful consultation, ifParty A introduce the similar business int

16、o the market again.附注Note:a)同类商业：相同品牌及款式的产品。The similar business means the same brands and styles.7.付款方式及时间The Manner and Time of Paymenta)乙方在签订合同时支付给甲方第一个月租金及保证金。 之后每期租金于每月5日 前交付。先付后用。甲方收到租金后予书面签收或短信回复。Party B should pay the first month rental and deposit to Party A when signing the contract. Eachm

17、onthly lease should be paid before 5th of every month. Party B will pay the rental before using thegoods shelves and attached facilities. Party A will issue a written receipt or message reply afterreceiving the payment.b)甲乙双方如有特殊约定，可在本款另行约定。Other special terms will be listedbellows:附注/Note:a)乙方可以采用现

18、金或者银行转账的方式向甲方支付租金。Party B can use any kind manners to do the payment, like cash or remittance.b)银行转账时，乙方应保存相关凭据，并在汇款后以电话或者短信的形式通知甲方 查收。待甲方确定转账成功后，以短信形式回复确认收款。After remitting, Party B should keep the bank credentials and ask Party A to ensure the remittance byphone or text. Party A will issue a messa

19、ge reply after receiving the payment.c)若乙方以汇款形式支付租金，则以汇出日为支付日，汇费由汇出方承担。In case Party B pays the rental in the form of remittance, the date of remitting will be the day of paymentand the remittance fee will be borne by the remitter.8.续租Renewala)在本合同期满后，在相同条件下，乙方有优先续租权。After the expiration of this con

20、tract, Party B has the priority right to renew at the same conditions.b)乙方在租赁期满前15天，如需要退租或续租，应提前15天通知甲方，由双方另 行协商退租或续租事宜。Within 15days before the contract expires, Party B will notify Party A if it intends to renew or surrender.c)甲方在租赁期满前15天，如不将与乙方续租，应提前15天通知乙方，由双方另 行协商退租事宜。Within 15days before the c

21、ontract expires, Party A will notify Party B if it is not goingto extend the contract with Party B.9.违约Breach of the contracta)甲乙双方签订的租赁合同后，乙方交纳第一个月租金及保证金后，甲方未能按时 向乙方提供货架及其配套设施，属于甲方违约。甲方应每天按月租金的1%向乙方支 付延期违约金，直至甲方向乙方提供货架及其配套设施或双方协商终止合同。If Party A cannot offer the goods shelves and attached facilities

22、 to Party B on time after the leasecontract becomes effective and Party B paid the first month rental and deposit. Then Party A breachesthe contract, so Party A should compensateParty B 1% of the monthly rental every day until Party A offers the goods shelves and attached facilitiesto Party B or bot

23、h Parties decide to terminate the contract.b)在合同有效期内，未经乙方同意，甲方单方面提高租金，乙方有权拒绝支付超额 部分租金。During the contract period, in case Party A increases the rents without consent of Party B, Party B hasright to refuse to pay the excess rents.c)在合同有效期内，任何一方单方面取消、中断合同，应提前十天通知对方，并且 支付违约金5,000泰铢整。During the contract

24、 period, any Party wants to terminate the contract should notice another Party 10days before, and should compensate 5,000Bath to another Party.d)若乙方逾期支付租金超过五天，则每天以月租金的1支付滞纳金；如乙方逾期支付租金超过十四天，则视为乙方自动退租，构成违约，甲方有权收回房屋，没收保 证金，并追究乙方违约责任。In case the rental is more than five days overdue, Party B will pay 1%

25、 of monthly rental as overdue fineevery day, if the rental be paid 14 days overdue, Party B will be deemed to have withdrawn from thegoods shelves and breach the contract. In this situation, Party A has the right to take back the goodsshelves, confiscate the deposits and take actions against Party B

26、s breach.e)因不可抗拒的因素引起本合同不能正常履行时，不被视为违约。甲方应将乙方实 际损失天数的租金退还给乙方。Due to the force majeure cannot properly perform the contract,dont be deemed tobreach the contract. Party A will pay the rental back to Party B according to the actual losing days.f)因甲方原因使乙方未能正常营业，给乙方造成的经济损失，由甲方承担责任并赔 偿乙方经济损失。Due to the Pa

Party A should compensate Party B for the economic losses.10.合同生效和纠纷解决/ Commencement and Dissolution of The Contract a)本合同附件是本合同的有效组成部分，与本合同具有同等法律效力。Any annex is the integral part of this contract. The annex and this contract are equally valid.b)本合同一经双方签字后立即生效；未经双方同意，不得任意终止，如有未尽事宜， 甲乙双方可另行协商。This contract will be effective after being signed by both parties.
