13、台风、自然灾害以 及任何其它卖方不能合理控制的任何意外事故和情况，阻止、妨碍或干扰了本合同的履 行时，本合同规定的卖方履约时间应自动延长。其延长的时间应当相当于因人力不可抗 拒事件直接或间接地使卖方不能履行本合同的时间。受不可抗力事件影响的卖方应在合理的时间内，将不可抗力事件的发生通知买方，并于一个月内将有关当局出具的有关不 可抗力事件的证明航寄买方。如果不履约的情况延续六十天以上，双方应立即协商修改合同。若从不可抗力事件发生 之日起一百二十天内双方当事人未能取得双方满意的解决办法时，任何一方都可以终止履行本合同的未执行部分。The time for the performa nce of t

14、he Seller obligati ons set forth in this Con tract shall be automatically extended for a period equal to the duration of any non-performance arising directly or in directly from Force Majeure eve nts in cludi ng but not limited to fire, flood, earthquake, typhoon, natural catastrophe, and all other

The Seller so preve nted by Force Majeure shall in reas on able time inform the Buyer of the occurrence of Force Majeure and with in one month

16、 by air mail a releva nt certificate issued by compete nt authorities as evide nce thereof. If the non-performance lasts for more than sixty (60) days, the parties shall immediately consult together in an effort to agree upon a revised con tract basis. If the parties are un able to arrive at a mutua

17、lly satisfactory soluti on with in one hun dred and twenty (120) days from the begi nning of such Force Majeure, the n either of the parties may term in ate the Con tract in respect of the un executed portion of the Con tract.CLAIMS :如果发现货物在质量、数量或规格方面与本合同第一条规定不符，卖方同意审核任何因 此而提出的索赔。该索赔要求应经卖方认可的有信誉的检验机

19、 description set out in Clause one, the Seller agrees to examine any claim, which shall be supported by a report issued by a reputable surveyor approved by the Seller, claims concerning quality shall be made in writ ing with in three mon ths after the arrival of the goods at the port of destination.

20、 Claims concerning quantity and / or specification shall be made in writi ng with in fiftee n days after the arrival of the goods at the port of desti natio n. In no event shall the Seller be liable for lost profits, delay, injury to goodwill or any special or con seque ntial damages howsoever any o

21、f the same are caused.The Seller liability for any and all losses or damages of whatsoever n ature result ing form any cause whatsoever shall in no event exceed the portion of the Total Con tract Price attributable to commodity in respect of which the claim is made, or at the election of the Seller,

22、 the repair or replaceme nt of such commodity.16、仲裁:ARBITRATION本合同受中华人民共和国法律管辖，并按其进行解释。一切因合同引起的或与合同有关 的争议如果可能应通过友好协商解决。如果协商不能解决，任何一方都可以提出仲裁。仲裁地点为中华人民共和国北京。仲裁在中国国际经济贸易仲裁委员会进行，并适用其 仲裁规则。仲裁裁决是终局的，对双方均有约束力。除仲裁另有裁定外，仲裁费用由败 诉方负担。This Con tract shall be governed by and con strued in accorda nce with the la
